Company Share Number definition

Company Share Number means, without duplication, (a) the aggregate number of shares of Company Common Stock outstanding as of immediately prior to the Effective Time, plus (b) the aggregate number of shares of Company Common Stock issuable upon the exercise of all Company Stock Options outstanding as of immediately prior to the Effective Time, as if exercised by means of a net cashless exercise assuming a price per share of Company Common Stock of $21.90, that are assumed or exchanged for comparable options issued under a SSMP Stock Option Plan, plus (c) the aggregate number of shares of Company Common Stock issuable upon exercise, by means of a net cashless exercise assuming a price per share of Company Common Stock of $21.90, of Company Warrants outstanding as of immediately prior to the Effective Time that are converted into the right to acquire securities of SSMP in accordance with their terms.
Company Share Number means the aggregate number of shares of Company Common Stock outstanding immediately prior to the Closing Date (including all shares of Company Common Stock issued or issuable upon exercise, conversion or exchange of all vested Company Options which are exercised or converted as of the Effective Time).
Company Share Number means the total number of shares of Common Stock outstanding immediately prior to the Effective Time (but after giving effect to the Stock Split, the Warrant Net Exercise, and the Note Conversion) expressed on a fully-diluted and as-converted to Common Stock basis and assuming, without limitation or duplication, the issuance of all shares of Common Stock that would be issued assuming the acceleration and exercise and conversion of all Company Stock Options, Company Warrants or other convertible or derivative securities of the Company outstanding as of immediately prior to the Effective Time, other than any of the Company Convertible Notes that do not convert prior to Closing and are included as Indebtedness in the calculation of Company Valuation; 104

More Definitions of Company Share Number

Company Share Number means, (i) 0, if Employee’s employment terminates prior to December 31, 2006, (ii) 100,000, plus up to an additional 166,667 to the extent that certain performance conditions established by the Compensation Committee of the Company (the “Second Performance Conditions”) are satisfied, if Employee’s employment terminates between December 30, 2006 and December 31, 2007, (iii) 200,000, plus up to an additional 333,334 to the extent that the Second Performance Conditions are satisfied, if Employee’s employment terminates between December 30, 2007 and December 31, 2008, (iv) 300,000, plus up to an additional 500,000 to the extent that the Second Performance Conditions are satisfied, if Employee’s employment terminates on or after December 31, 2008, Employee’s employment does not terminate prior to the date on which the Company Share Number is determined, or Employee’s employment terminates at any time under circumstances that gave rise to acceleration of the Target Shares, and (v) if Employee’s employment terminates for Death or Disability, the same number as under (iv) directly above (300,000, plus up to an additional 500,000 to the extent that the Second Performance Conditions are satisfied), multiplied by a fraction, the numerator of which is the number of days of continued employment with the Company following the date hereof and the denominator of which is the total number of days in the Term.
Company Share Number means the aggregate number of shares of Company Series 3 Preferred Stock on an as converted to Company Common Stock basis, that are issued and outstanding immediately prior to the Effective Time.
Company Share Number means the sum of (x) $200,000,000 and (y) the aggregate exercise price of all options to acquire stock of the Company exercised following the date hereof and prior to consummation of the Offer (the "OPTION EXERCISE AMOUNT") divided by the Per Share Amount. "PURCHASER SHARE NUMBER" means the total number of issued and outstanding Shares less the Shares otherwise owned by BYOWC, Parent or Purchaser and less the Company Share Number. The Company agrees that no Shares held by the Company or any subsidiary of the Company will be tendered pursuant to the Offer.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).
