Purchaser Share definition

Purchaser Share means a common share in the capital of the Purchaser.

• The Purchaser shall not permit the sum of (i) the Purchaser Share Cap plus (ii) the aggregate number of shares expressly reserved for any such other uses, in each case whether expressed as caps or as numbers of shares reserved or otherwise, to exceed at any time the number of authorized but unissued shares of Common Stock.

• With respect to any indemnification payment, the value of each Escrow Share or any other share of Purchaser Common Stock for purposes of determining the indemnification payment shall be the Purchaser Share Price on the date that the indemnification claim is finally determined in accordance with this Article VI.

• With respect to any indemnification payment that includes Escrow Shares, the value of each Escrow Share for purposes of determining the indemnification payment shall be the Purchaser Share Price on the date that the indemnification claim is finally determined in accordance with this ARTICLE X.

More Definitions of Purchaser Share

Purchaser Share means a share of the common stock in the authorized share capital of the Purchaser, US$0.25 par value per share;

Purchaser Share means a Class B Non-Voting Share in the capital of the Purchaser;

Purchaser Share means a voting common share without par value in the capital stock of the Purchaser;

Purchaser Share means, at any time prior to the effectiveness of the Domestication, a Purchaser Ordinary Share or, at any time from and after the effectiveness of the Domestication, a Purchaser Common Unit.
