Company UAR definition

Company UAR means a “Unit Appreciation Right” as defined in the Company UAR Plan.
Company UAR means a Company Unit appreciation right granted under any Company Equity Plans.
Company UAR means a "UAR" as defined in the UAR Plan.

Examples of Company UAR in a sentence

  • UA owns 100% of the common stock of Debtors United Artists Realty Company ("UAR") and United Artists Theatre Circuit, Inc.

  • Notwithstanding anything in this Agreement to the contrary, in no event shall the aggregate amount paid to the Unitholders and Company UAR Holders (collectively, the “Equityholders”) at Closing exceed the Closing Purchase Price.

  • In the event that (1) the Base Value of any Company UAR is equal to or greater than the Per Unit Closing Consideration or (2) any Company UAR is, as provided in the UAR Plan, unvested as of the Final Effective Time, such Company UAR shall automatically be terminated and cancelled, without any consideration being payable in respect thereof, and have no further force or effect.

  • Parent Share Price means the average of the volume weighted averages of the trading prices of Parent Common Shares on NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the 20 consecutive trading days ending on (and including) the trading day that is two trading days prior to the Closing Date.

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.

  • Company SEC Documents shall have the meaning set forth in Section 4.7(a).

  • Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock on the NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the five (5) consecutive trading days ending on the trading day that is two (2) trading days prior to the Closing Date.

  • Company Restricted Share means each restricted share of Company Common Stock outstanding as of the Effective Time granted pursuant to any equity or compensation plan or arrangement of the Company.

  • Controlled Shares in reference to any person means all shares of the Company directly, indirectly or constructively owned by such person as determined pursuant to Section 958 of the Code.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Parent RSU means each restricted stock unit representing the right to vest in and be issued shares of Parent Common Stock by Parent, whether granted by Parent pursuant to a Parent Equity Plan, assumed by Parent in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested.

  • Co-op Shares Shares issued by private non-profit housing corporations.
