Competitor Entity definition

Competitor Entity means any entity engaged in Competitive Activities.
Competitor Entity shall have the meaning ascribed thereto in clause 16.2;
Competitor Entity means any of the ten (10) companies identified by the names, or commonly referred to as, AIG, Aon, AXA, The Xxxxxxxx, Xxxx Xxxxxxx, New York Life, Prudential. SunLife, USAA or Northwestern Mutual, and any of said companies’ Affiliates which are in the insurance business or share the name (or a derivative of the name) of any of said companies. Landlord may replace any of the foregoing named Competitor Entities with another company upon notice to Tenant (which notice shall not be given more frequently than two (2) times in any 12-month period, except that if Tenant is already in negotiations with such replacement company at the time of such notice, Tenant shall have one hundred thirty-five (135) days from receipt of such notice to execute such sublease or assignment with such company, before such replacement entity would be deemed a Competitor Entity); and

Examples of Competitor Entity in a sentence

  • In the event that such Health Care Entity engages or conducts, directly or indirectly, business in the States of Rhode Island or Massachusetts (a "Competitor Entity"), CareAdvantage shall provide Blue Cross with one hundred (100) days' prior written notice prior to providing services to such Competitor Entity.

  • In the event that such entity is not a Competitor Entity, CareAdvantage shall provide Blue Cross with fifteen (15) business days' prior written notice prior to providing services to such entity.

  • It is the intention of Blue Cross not to continue in a business relationship with CareAdvantage in the event CareAdvantage provides services to a Competitor Entity.

  • Competitor means any individual, corporation, partnership or other entity that engages in (or that owns a significant interest in any corporation, partnership or other entity that engages in) any business conducted by the Company or any of its Affiliates.

  • Competing Entity means any entity or person that is engaged, directly or indirectly, in a Competitive Business.

  • Competitive Business means any person or entity that engages in any business activity that competes with the Company’s business in any way, in any geographic area in which the Company engages in business, including, without limitation, any state in the United States in which the Company sells or offers to sell its products from time to time.

  • Company Control Person means each director, executive officer, promoter, and such other Persons as may be deemed in control of the Company pursuant to Rule 405 under the 1933 Act or Section 20 of the 1934 Act (as defined below).

  • Core Business means any material line of business conducted by the Company and its Subsidiaries as of the Closing Date and any business directly related thereto.

  • Competing Services means to provide, manage, supervise, or consult about (whether as an employee, owner, partner, stockholder, investor, joint venturer, lender, director, manager, officer, employee, consultant, independent contractor, representative or agent, or otherwise) any services that are similar in purpose or function to services you provided to the Company in the two year period preceding the termination of your employment, that might involve the use or disclosure of Confidential Information, or that would involve business opportunities related to Relevant Products.

  • Competitive Services means engaging in the business of commercial and mortgage banking, including, without limitation, originating, underwriting, closing and selling loans, receiving deposits, as well as the business of providing any other activities, products, or services of the type routinely conducted, offered, or provided by Employer as of or during the two years immediately prior to the Date of Termination.

  • Group Business Entity means;

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.

  • Women Owned Business Enterprise or "WBE" means a firm awarded certification as a women owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a women owned business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • Doing business means engaging in any activity, whether legal or illegal, that is conducted

  • Competitive Entity means any person, entity or business that (i) competes with any of the Company’s or any of its affiliate’s programming or other existing businesses, nationally or regionally; or (ii) directly competes with any other business of the Company or one of its subsidiaries that produced greater than 10% of the Company’s revenues in the calendar year immediately preceding the year in which the determination is made. Ownership of not more than 1% of the outstanding stock of any publicly traded company shall not, by itself, be a violation of this paragraph. This agreement not to compete will expire on the first anniversary of the date on which your employment with the Company has terminated if such termination occurs prior to the Expiration Date.

  • Controlled unaffiliated business means a company:

  • Wholly Owned Affiliate has the meaning specified in Rule 2 of Regulation RR.

  • Affiliated Party means, with respect to any Purchaser, any person or entity which, directly or indirectly, controls, is controlled by or is under common control with such Purchaser, including, without limitation, any general partner, officer or director of such Purchaser and any venture capital fund now or hereafter existing which is controlled by one or more general partners of, or shares the same management company as, such Purchaser.
