Concert Party definition

Concert Party means, in relation to any person, a party who is deemed or presumed to be Acting in Concert with that person for the purposes of the Takeover Rules;
Concert Party means the Sheikh Group together with persons acting in concert with Bidco and Sheikh Holdings;
Concert Party means any person acting in concert, or deemed or presumed to be acting in concert, with the relevant party;

More Definitions of Concert Party

Concert Party means any person with which any relevant person is acting in concert within the meaning of paragraphs (2) to (5) (inclusive) of the definition of ‘acting in concert’ in the City Code on Takeovers and Mergers, or would be so acting in concert if the City Code on Takeovers and Mergers applied in the relevant case.
Concert Party means, during such time as the applicable agreement or understanding is in effect, any persons who, pursuant to an agreement or understanding, act in concert to obtain or consolidate Control of the Group or otherwise. Securityholders shall always be deemed to be Concert Parties with their Affiliates. Investors shall not be deemed Concert Parties by virtue of indicating how they will act or vote, provided such investors do not cede voting discretion in connection therewith;
Concert Party has the meaning specified in the City Code.
Concert Party means Tim Martin and his close relatives and related trusts, being Felicity Martin, Margit Martin, Louise Martin, Olive Hamilton and Gerald Martin, who, for the purposes of the Code, are presumed to be acting in concert;
Concert Party means persons or persons who, pursuant to an agreement or understanding (whether formal or informal) actively co-operate, through the acquisition by any of them of Shares or otherwise to obtain or consolidate control of or influence over the Company for any purpose connected with the holding of Shares;
