Confirmed Cargo definition

Confirmed Cargo means a Non-Firm Cargo scheduled to be delivered by a User:
Confirmed Cargo has the meaning ascribed in Clause 5.2(c);
Confirmed Cargo is defined in Clause 5.2(b). ​ ​ ​ ​ ​​ ​​including the Gas Offtake Agreements, LNG SPA, or LNG Carrier or tug charters), Agreement, provided however, that "Consequential Damages" shall not include (i) the Daily Service Fee or any profits from such Daily Service Fee payable (or which would have been payable) hereunder; (ii) any liquidated damages payable hereunder or any deduction of Daily Service Fee; and (iii) the value of LNG (including Boil-Off).​

Examples of Confirmed Cargo in a sentence

  • If the Unrated User makes a partial delivery of some but not all of the scheduled cargo quantity of the relevant Firm Cargo or Confirmed Cargo (as applicable), the Unrated User may proportionately amend, or partially cancel, the Sale Transaction to reflect the quantity of LNG actually delivered by the Unrated User in respect of such Cargo, to account for the partial delivery.

  • The Operating Company may carry out additional work, inspections, maintenance, repairs and modifications other than and in addition to the works envisaged in the Maintenance Schedule provided that the consequent Unplanned Service Reductions do not result in a delay of a Confirmed Cargo that exceeds two (2) Gas Days.

  • The obligation of Contractor to pay such amounts under this Clause 5.7(b) shall be subject to Customer having used reasonable endeavours to procure that a term is included in the applicable agreements between the relevant commercial agent and the LNG supplier to the effect that Contractor shall have a reasonable period of time beyond the Allowed Laytime to unload the Duly Confirmed Cargo.

  • Any such additional cargo of LNG which meets the requirements of (i) to (iii) above shall be a Confirmed Cargo for the purposes of this Agreement and the Charter Agreement.

  • The Monthly Cargo Confirmation shall set forth for each Confirmed Cargo: (i) the Arrival Window; (ii) Customer's reasonable estimate of the net delivered quantity of LNG (in MMBtu and cubic meters) that the LNG Carrier is expected to discharge; (iii) the anticipated loading port; (iv) the expected quality of LNG intended to be delivered, expressed (unless the Parties otherwise agree) in terms of gross heating value and in terms of molecular percentages of relevant constituents.

  • Where Charterer’s proposed Quarterly LNG Delivery Schedule or any Confirmed Cargo or Reload Operation will cause Contractor to breach a Cargo Requirement Interval or Anti-Rollover Restrictions, the Parties should agree an alternative Quarterly LNG Delivery Schedule or schedule for such Confirmed Cargo or Reload Operation.

  • Contractor shall ensure the continuous and efficient unloading of a Duly Confirmed Cargo of LNG hereunder and the management of Boil-Off.

The FOC confirms the schedule of dates committed to by CenturyLink for the Provisioning of the service requested.

  • GMP means the amount proposed by Contractor and accepted by Owner as the maximum cost to Owner for construction of the Project in accordance with this Agreement. The GMP includes Contractor’s Construction Phase Fee, the General Conditions Cost, the Cost of the Work, and Contractor’s Contingency amount.

  • MARPOL 73/78 means the International Convention for the Prevention of Pollution from Ships (1973) as modified by the Protocol of 1978 relating thereto;

  • Licensed clinical social worker means an individual who meets the licensed clinical social worker requirements established in KRS 335.100.

  • MFDA means the Mutual Fund Dealers Association of Canada;

  • IAPPC means a valid international air pollution prevention certificate for the Vessel issued under Annex VI.

  • Product Specification means a product specification for a Medical Device set out in Schedule 2;

  • Tobacco product manufacturer means an entity that after the date of enactment of this Act directly (and not exclusively through any affiliate):

  • Batch Record means the production record pertaining to a Batch.

  • FDA means the United States Food and Drug Administration and any successor agency thereto.

  • CFDA means the Code of Federal Domestic Assistance assigned to a federal grant.

  • Good Clinical Practices means the FDA’s standards for the design, conduct, performance, monitoring, auditing, recording, analysis, and reporting of clinical trials contained in 21 C.F.R. Part 50, 54, 56, 312, 314, 320, 812, and 814 and (ii) “Good Laboratory Practices” means the FDA’s standards for conducting non-clinical laboratory studies contained in 21 C.F.R. Part 58.

  • MSAA Indicator Technical Specifications document means, as the context requires, either or both of the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Indicator Technical Specifications November 5, 2018 Version 1.3” and the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Target and Corridor-Setting Guidelines” as they may be amended or replaced from time to time;

  • Drug test means a test designed to detect the illegal use of a controlled substance.

  • Contract Manufacturer means a company that produces goods under contract for another company under the label or brand name of that company.

  • Clinical evaluation means a systematic and planned process to continuously generate, collect, analyse and assess the clinical data pertaining to a device in order to verify the safety and performance, including clinical benefits, of the device when used as intended by the manufacturer;

  • Protocol means, in respect of any category of object and associated rights to which this Convention applies, the Protocol in respect of that category of object and associated rights;

  • cGMP means current Good Manufacturing Practices as specified in the United States Code of Federal Regulations, ICH Guideline Q7A, or equivalent laws, rules, or regulations of an applicable Regulatory Authority at the time of manufacture.

  • Harvest batch means a specifically identified quantity of dried flower or trim, leaves, and other cannabis plant matter that is uniform in strain, harvested at the same time, and, if applicable, cultivated using the same pesticides and other agricultural chemicals, and harvested at the same time.

  • HEPA filter means high-efficiency particulate air filters that are rated to achieve a minimum initial particle-removal efficiency of 99.97 per cent using ASTM F 1471– 93 or equivalent standard;

  • Product Specifications means the specifications, features and/or terms of any "Contract" (as defined in the LME Rules) listed for trading on the LME, as described in the LME Rules;
