Consultant Background IP definition

Consultant Background IP means any methodologies, patterns, plans, procedures, Software, algorithms, computer code, documentation, tools, business processes, scripts, interfaces, commands, technical information, know-how, techniques, specifications, technologies and/or other Intellectual Property that is proprietary to the Consultant or which Consultant has the right and licence to use and make available to Metrolinx, in each case that was either: (a) created prior to the Effective Date; or (b) created, developed or produced independently of this Contract and/or the performance of the Services.

Consultant Background IP means all Intellectual Property Rights of any nature which are material to the supply of the Services and which are owned by the Company and/or any Consultant or to which the Company and/or any Consultant has rights including but not limited to rights in documentation, information, data, software, source code and equipment which is in existence prior to first providing the Services to SEPA and which is or should be made available by the Company and/or a Consultant in order to enable SEPA to receive the Services;

Examples of Consultant Background IP in a sentence

  • During the term of this agreement the Consultant must make available the Consultant Background IP to be provided by it.

  • The Consultant warrants that it is the owner of, or is otherwise entitled to provide, the Consultant Background IP which it makes available under this agreement.

  • The Consultant grants MLA a non-exclusive, perpetual, irrevocable, royalty free licence (including the right to sub-licence any third party) to use the Consultant Background IP to the extent required to enable MLA to use the Project IP.

  • When the Consultant makes Consultant Background IP available (other than that specified in the schedule) it must give a notice to MLA identifying the Consultant Background IP and the ownership of it, and details of any encumbrances.

  • If the Deliverables include market research data which is Consultant Background IP that it licenses to multiple clients (other than as specified in the Statement of Work), the Consultant grants MLA a non-exclusive, perpetual, irrevocable, royalty free licence (including the right to sub-licence) to use the Consultant Background IP for the objectives set out in the Statement of Work.

  • The Consultant is and will be the exclusive owner of, and shall retain all right, title and interest (including Intellectual Property Rights) in and to all Consultant Background IP.

  • Consultant Background IP means Intellectual Property owned, licensed or held by the Consultant and made available by the Consultant under this agreement, including but not limited to the Intellectual Property specified in the schedule.

Consultant Background IP means IP that, as of the Effective Date: (A) has been created by Consultant or on Consultant’s behalf; (B) (x) is owned exclusively by Consultant or jointly by Consultant with others or (y) in which Consultant otherwise has an ownership interest; (C) relates in any way to any of the Company Group’s actual or proposed businesses, products, services, or research and development; and (D) which is not intended to be assigned to the Company hereunder.
Consultant Background IP means all present and future Intellectual Property brought into existence by or on behalf of the Consultant, which is in existence before the Commencement Date, or after the Commencement Date other than in connection with this Agreement.
Consultant Background IP means inventions, copyright works and other subject matter capable of copyright protection, designs, trade marks, software, trade secrets expertise, knowledge, skills, techniques, methods, procedures, ideas, concepts and Intellectual Property Rights possessed by the Consultant prior to the Commencement Date or developed separately to and concurrently with the performance of the Consultancy Services, which the Consultant makes available and which is reasonably necessary for the performance of the Consultancy Services.

Related to Consultant Background IP

  • Background IP means all IP and IP Rights owned or controlled by Seller prior to the effective date or outside the scope of this Contract.

  • Background IPR means any Intellectual Property Rights (other than Project IPR) belonging to either party before the Commencement Date or not created in the course of or in connection with the Project;

  • Background Invention means an Invention conceived and first actually reduced to practice before the Effective Date.

  • Foreground IP means all intellectual property and Intellectual Property Rights generated under these Terms; and

  • High-technology activity means that term as defined in section 3 of the Michigan economic growth authority act, 1995 PA 24, MCL 207.803.

  • Assistive technology service means any service that directly assists a child with a disability in the selection, acquisition, or use of an assistive technology device. The term includes:

  • Assistive technology device means any item, piece of equipment, or product system that is used to increase, maintain, or improve the functional capacities of a child with a disability.

  • Company Technology means all Technology owned or purported to be owned by the Company.

  • Background Intellectual Property Rights means Intellectual Property Rights owned, controlled or furnished by either Party other than Foreground Intellectual Property Rights.
