Consumer Warehouse Facility definition

Consumer Warehouse Facility means the debt facility entered into by a Consumer Warehouse Subsidiary pursuant to the Consumer Warehouse Loan Documents for the purpose of financing the origination of Consumer Warehouse Assets (or assets intended to become Consumer Warehouse Assets), which meets the following conditions:

Consumer Warehouse Facility means the debt facility entered into by a Consumer Warehouse Subsidiary pursuant to the Consumer Warehouse Loan Documents for the purpose of financing the origination of Consumer Warehouse Assets (or assets intended to become Consumer Warehouse Assets), which meets the following conditions: (a) the Borrower shall have determined in good faith that the Consumer Warehouse Facility (including financing terms, covenants, termination events and other provisions) is in the aggregate economically fair and reasonable to the Borrower and its Restricted Subsidiaries; (b) the financing terms, covenants, termination events and other provisions thereof shall be market terms (as determined in good faith by the Borrower) and may include Standard Consumer Warehouse Undertakings; and
