Contingent Interest Rate definition

Contingent Interest Rate shall be expressed as a percentage determined by dividing (a) 50% of the Excess Cash Flow by (b) the sum of the principal amount of all Outstanding Securities (including this Security) and the principal amount of all outstanding Secured Series 2002 Bonds at the time of such determination. Interest on the Securities shall be computed on the basis of a 360-day year of twelve 30-day months. The interest so payable on any April 1 and October 1 will, except as otherwise provided in the Indenture, be paid to the person in whose name this Security is registered at the close of business on the March 15 or September 15 preceding such April 1 and October 1, whether or not such day is a Business Day (as defined in the Indenture); provided that interest, if any, may be paid, at the option of the Issuer, by mailing a check therefor payable to the registered holder entitled thereto at his last address as it appears on the Security register. If the date of redemption or purchase of this bond is other than April 1 or October 1, then the amount of any accrued and unpaid interest due and payable on this bond at the time of any such redemption or purchase shall be equal to the amount determined by multiplying (i) the interest rate in effect as of the most recent interest payment date prior thereto by (ii) a fraction, the numerator of which is the actual number of days elapsed in the period for which interest is payable on the date of redemption or purchase, and the denominator of which is 360. Unless otherwise agreed by the Issuer and the holder of any Security, payments by the Issuer in respect of the Securities (including principal, premium, if any and interest) shall be paid to holders of the Securities in same-day funds. If the date of maturity of interest on or principal of the Securities or the date fixed for redemption of any Security shall not be a Business Day, then payment of interest, or principal will be made on the next succeeding Business Day, with the same force and effect as if made on the date of maturity or the date fixed for redemption, and no interest shall accrue for the period after such date.

Thereafter, the rate shall be adjusted to the rate determined by the Receiver to be equal to the equivalent coupon issue yield on such Treasury Bills in effect as of the first day of each succeeding calendar quarter during which interest accrues as published in The Wall Street Journal.

  • Delayed Payment Interest Rate means the national average annual rate of interest payable on jumbo six-month bank certificates of deposit, as quoted in the business section of the most recently published Sunday edition of The New York Times preceding the Executive’s separation from service.

(ii) However, if the Calculation Agent, determines that a Benchmark Transition Event and its related Benchmark Replacement Date have occurred with respect to Three-Month Term SOFR, but for any reason the Benchmark Replacement has not been determined as of the relevant Floating Interest Determination Date, the Floating Interest Rate for the applicable Floating Interest Period will be equal to the Floating Interest Rate on the last Floating Interest Determination Date for the Subordinated Notes, as determined by the Calculation Agent (as defined below). (iii) If the then-current Benchmark is Three-Month Term SOFR and any of the foregoing provisions concerning the calculation of the interest rate and the payment of interest during the Floating Interest Period are inconsistent with any of the Three-Month Term SOFR Conventions determined by the Company, then the relevant Three-Month Term SOFR Conventions will apply.
