Continuing Members definition

Continuing Members means, as of any date of determination, any member of the board of directors of the Corporation who (a) was a member of such board of directors immediately after consummation of the acquisition of the Corporation by the Principals and their Related Parties in August 1998 or (b) was nominated for election or elected to such board of directors with the approval of, or whose election to the board of directors was ratified by, at least a majority of the Continuing Members who were members of such board of directors at the time of such nomination or election or any successor Continuing Members appointed by such Continuing Members (or their successors).
Continuing Members is defined in the preamble to this LLC Agreement.

Examples of Continuing Members in a sentence

  • A total number of Salary Points (SP) equal to the number of Probationary, Term and Continuing Members (converted to Full-Time equivalents) multiplied by 1.70 shall be distributed in each of the academic years 2011-12, 2012-13, 2013-14, and 2014-15.

More Definitions of Continuing Members

Continuing Members means a member of the Board who either (a) was a member of the Board on the day before the Closing or (b) became a member of the Board after the day before the Closing and whose election or nomination for election was approved by a vote of the majority of the Continuing Members then members of the Board.
