Controller Affiliate definition

Controller Affiliate means any of Customer's Affiliate(s) (a) (i) that are subject to applicable Data Protection Laws of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (ii) permitted to use the Services pursuant to the Agreement between Customer and Slack, but have not signed their own Order Form and are not a “Customer” as defined under the Agreement, (b) if and to the extent Slack processes Personal Data for which such Affiliate(s) qualify as the Controller.

Controller Affiliate means each and any subsidiary, holding company or wholly-owned subsidiary of the Company, and "holding company", "subsidiary" and "wholly-owned subsidiary" shall have the same meanings given to them under section 531 of the Companies (Guernsey) Law, 2008 and for the avoidance of doubt includes the Company "Controller Affiliates" shall be construed accordingly).

Controller Affiliate means any of Customer's Affiliate(s) (a) (i) that are subject to applicable Data Protection Laws of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (ii) permitted to use the Services pursuant to the Agreement between Customer and VTEX, but have not signed their own Order Form and are not a “Customer” as defined under the Agreement, (b) if and to the extent VTEX processes Personal Data for which such Affiliate(s) qualify as the Controller.

Examples of Controller Affiliate in a sentence

• Each Controller Affiliate agrees to be bound by the obligations under this DPA and, to the extent applicable, the Agreement.

• For the avoidance of doubt, a Controller Affiliate is not and does not become a party to the Agreement, and is only a party to the DPA.

• Unless otherwise provided in this DPA, all requests, notices, cooperation, and communication, including Instructions issued or required under this DPA (collectively, “Communication”), must be in writing and between Customer and ServiceNow only and Customer shall inform the applicable Data Controller Affiliate of any Communication from ServiceNow pursuant to this DPA.

• All access to and use of the Services by Controller Affiliates must comply with the terms and conditions of the Agreement and any violation of the terms and conditions of the Agreement by a Controller Affiliate shall be deemed a violation by Customer.

Controller Affiliate means an entity that owns or controls, is owned or controlled by or is or under common control or ownership with Controller, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise;

Controller Affiliate means any of Customer's Affiliate(s) (i) that are subject to Applicable Privacy and Data Protection Laws of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (ii) permitted to use PandaDoc’s products and/or services pursuant to the Agreement between Customer and PandaDoc, but have not signed their own Order Form and are not a “Customer” as defined under the Agreement.

Controller Affiliate means any of Customer's Affiliate(s) (a) (i) that are subject to applicable Data Protection Laws of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (ii) permitted to use the Services pursuant to the Agreement between Customer and TimeTap, but have not signed their own Order Form and are not a “Customer” as defined under the Agreement, (b) if and to the extent TimeTap processes Personal Data for which such Affiliate(s) qualify as the Controller.
