Corporate Authorizations definition

Corporate Authorizations. Both the execution of this agreement as well as performance of all obligations herein contained are within the authority of the Parties, have been approved by the management of each thereof and constitute a valid and binding agreement.
Corporate Authorizations means any authorization issued by a competent business entity of the respective Party or the Company, as applicable, issued subject to the provisions contained within the Party’s corporate documents and which may be necessary for signing and execution of obligations envisaged in this Purchase Sale Agreement.

  • Appropriate Authority means any government or taxing authority.

  • Necessary Authorizations means all approvals and licenses from, and all filings and registrations with, any governmental or other regulatory authority, including, without limiting the foregoing, the Licenses and all approvals, licenses, filings and registrations under the Communications Act, necessary in order to enable the Borrower and its Subsidiaries to own, construct, maintain, and operate communications tower facilities and to invest in other Persons who own, construct, maintain, manage and operate communications tower facilities.

  • Prior authorization means that we must approve the Services in advance in order for the Services to be covered.

  • Material Consents as defined in Section 7.3.

  • Necessary Consents means all planning permissions and all other consents, licences, permissions, certificates, authorisations and approvals whether of a public or private nature which shall be required by any Competent Authority for the Permitted Use;

  • State authority means the hospital finance authority created by this act.

  • Product Authorizations means any and all approvals, including applicable supplements, amendments, pre- and post-approvals, clearances, licenses, notifications, registrations, certifications or authorizations of any Governmental Authority, any Standard Body necessary for the manufacture, development, distribution, use storage, import, export, transport, promotion, marketing, sale or other commercialization of a Product in any country or jurisdiction.

  • Governmental Approvals means all authorizations, consents, approvals, licenses and exemptions of, registrations and filings with, and reports to, all Governmental Authorities.

  • Corporate Actions means warrant and option exercises, conversions, exchanges and other capital reorganizations, calls, odd lot tenders/credits, bonus rights, subscription offers/rights, puts, maturities of securities, redemptions, mergers, tender or exchange offers, and rights exercises and expirations. Corporate Actions do not include class actions.

  • Governmental Consents has the meaning set forth in Section 3.5.

  • Environmental Authorizations means all licenses, permits, orders, approvals, notices, registrations or other legal prerequisites for conducting the business of the Borrower or any Subsidiary required by any Environmental Requirement.
