Counting center means one or more locations selected by the election officer in
Counting judge means a poll worker designated to count the ballots during
Accounting Period means a period ending on and including an accounting date and commencing (in case of the first such period) on the date on which the Trust Property is first paid or transferred to the Trustee and (in any other case) from the next day of the preceding accounting period.
Accounting Date means the thirtieth day of June in each year and any interim date on which the financial statements of the Trust are drawn up. Provided that the Management Company may, with the written consent of the Trustee and after obtaining approval from the Commission and the Commissioner of Income Tax may change such date to any other date and such change shall be intimated to the Commission.
IFRS means the international financial reporting standards as issued by the International Accounting Standards Board as in effect from time to time.
Target Financial Statements has the meaning set forth in Section 3.4.
Financial Statements has the meaning set forth in Section 3.06.
Pro Forma Financial Statements shall have the meaning set forth in Section 5.5(b) hereof.
Audited Financial Statements means the audited consolidated balance sheet of the Borrower and its Subsidiaries for the fiscal year ended December 31, 2017, and the related consolidated statements of income or operations, shareholders’ equity and cash flows for such fiscal year of the Borrower and its Subsidiaries, including the notes thereto.
Financials means the annual or quarterly financial statements, and accompanying certificates and other documents, of the Borrower and its Subsidiaries required to be delivered pursuant to Section 5.01(a) or 5.01(b).
Parent Financial Statements has the meaning set forth in Section 4.6(a).
