Covenant Relief Termination Date definition

Covenant Relief Termination Date means, so long as the Early Termination Date has not occurred, the earlier of (x) the date of delivery of the certificate of compliance pursuant to Section 5.04(c) of the Credit Agreement for the fiscal quarter ending September 30, 2021 demonstrating compliance with the Financial Performance Covenant as set forth in Section 6.10(a) and (y) the date of delivery of the certificate of compliance pursuant to Section 5.04(c) of the Credit Agreement demonstrating compliance with a Senior Secured Leverage Ratio of 5.00 to 1.00 for the fiscal quarter ending June 30, 2021.
Covenant Relief Termination Date means the earlier of (a) the day immediately following the last day of the fiscal quarter ending on or about June 27, 2025 and (b) the occurrence of a Covenant Relief Termination Event.
Covenant Relief Termination Date set forth in Section 6.10(e) of the Credit Agreement is hereby amended and restated in its entirety as follows:

Covenant Relief Termination Date means the earlier of (a) June 2827, 20242025 and
Covenant Relief Termination Date means the earliest of (a) the date on which the Borrower notifies the Administrative Agent in writing that the Borrower has elected to terminate the Covenant Relief Period (which notice will be irrevocable), (b) the first date on which the Borrower or any Designated Subsidiary fails to comply with any of the Covenant Relief Conditions, and (c) the latest of (i) the Revolving Facility Maturity Date, (ii) the Operating Facility Maturity Date and (iii) the Initial Term A Maturity Date;
Covenant Relief Termination Date means the earlier of (a) the last day of the fiscal quarter ending March 31, 2025 and (b) the date designated by the Borrower as the Covenant Relief Termination Date in a Covenant Relief Termination Notice. “Covenant Relief Termination Notice” means a notice in writing delivered by the Borrower to the Administrative Agent designating a Covenant Relief Termination Date as contemplated by clause (b) of the definition thereof and certifying that, as of such Covenant Relief Termination Date, (i) no Default or Unmatured Default shall have occurred and be continuing and (ii) the Borrower shall be in pro forma compliance with Section 6.12(a)(ii) as of the last day of the immediately preceding fiscal quarter (determined as if the Covenant Relief Period had ended prior to such day and setting forth a reasonably detailed calculation of the Consolidated Leverage Ratio determined as of such day). “Credit Facility” means the credit facility established pursuant to Article 2. “Credit Parties” means the Borrower and each Guarantor. “Currencies” means Dollars, each Foreign Currency and, as applicable, any Additional L/C Currency and “Currency” means any of such Currencies. “Daily Simple SOFR” means, for any day (a “SOFR Rate Day”), a rate per annum equal to the greater of (a) SOFR for the day (such day “i”) that is five U.S. Government Securities Business Days prior to (i) if such SOFR Rate Day is a U.S. Government Securities Business Day, such SOFR Rate Day or (ii) if such SOFR Rate Day is not a U.S. Government Securities Business Day, the U.S. Government Securities Business Day immediately preceding such SOFR Rate Day, in each case, as such SOFR is published by the SOFR Administrator on the SOFR Administrator’s Website and (b) the Floor. If by 5:00 pm (New York City time) on the second U.S. Government Securities Business Day immediately following any day “i”, the SOFR in respect of such day “i” has not been published on the SOFR Administrator’s Website and a Benchmark Replacement Date with respect to the Daily Simple SOFR has not occurred, then the SOFR for such day “i” will be the SOFR as published in respect of the first preceding U.S. Government Securities Business Day for which such SOFR was published on the SOFR Administrator’s Website; provided that any SOFR determined pursuant to this sentence shall be utilized for purposes of calculation of Daily Simple SOFR for no more than three (3) consecutive SOFR Rate Days. Covenant Relief Termination Date means the earliest of (a) the date on which the Borrower notifies the Administrative Agent in writing that the Borrower has elected to terminate the Covenant Relief Period (which notice will be irrevocable), (b) the first date on which the Borrower or any Designated Subsidiary fails to comply with any of the Covenant Relief Conditions, (c) at the election of the Required Pro Rata Lenders (as notified by the Administrative Agent to the Borrower in writing), the occurrence of an event of default or change of control under the trust indenture governing the First Lien Notes; provided that the occurrence and continuance of a default under such trust indenture shall be deemed to be a Default for the purposes of Section 6.2(2) of the Credit Agreement, and (d) the Revolving Facility Maturity Date;

Related to Covenant Relief Termination Date

  • Service Termination Date means the last Day in a month upon which Service shall terminate, as set forth in a Schedule of Service and subject to any renewal thereof.

  • Final Termination Date means the last date of the final year in which the Applicant is required to Maintain Viable Presence and as further identified in Section 2.3.E of this Agreement.

  • Scheduled Termination Date means the date that is 364 days from (and including) the Effective Date, or any succeeding date to which the term of this Agreement is extended pursuant to Section 2.03.

  • Commitment Termination Date means the earliest to occur of (a) the Maturity Date, (b) the date the Commitments are permanently reduced to zero pursuant to Section 2.8, and (c) the date of the termination of the Commitments pursuant to Article VIII.
