Covered Affiliates definition

Covered Affiliates means any Affiliate of the Liquidity Provider that provides services for the Liquidity Provider in connection with the transactions contemplated by this Agreement, the Intercreditor Agreement, the Fee Letter applicable to this Agreement or any other Operative Agreement.

Covered Affiliates means all (i) Current Affiliates of Vectrus and (ii) future Affiliates of Vectrus formed as part of an internal reorganization for tax or administrative purposes. For the avoidance of doubt, Covered Affiliates shall not include any (a) Affiliates of any third-party acquirer of Vectrus and its Subsidiaries or (b) future Affiliates of Vectrus acquired from any third party.

Covered Affiliates means, with respect to each Stockholder, each Affiliate controlled by such Stockholder or Monarch Alternative Capital LP.

Examples of Covered Affiliates in a sentence

• Google will defend Customer and its Covered Affiliates, and indemnify them against Indemnified Liabilities in any Third-Party Legal Proceeding to the extent arising from an allegation that the Google Indemnified Materials used in accordance with the Agreement infringe the third party’s Intellectual Property Rights.

• For the purpose of this option, any contractual breach by You will be considered as attributable to and enforceable against the concerned Covered Affiliates.

• All access to and use of the Services by Covered Affiliates must comply with the terms and conditions of the Agreement and any violation of the terms and conditions of the Agreement by a Covered Affiliate shall be deemed a violation by Subscriber.

• Client has the right to extend the rights and obligations under the Cloud Services Agreement to authorized Covered Affiliates identified in a Covered Affiliates Supplement.

More Definitions of Covered Affiliates

Covered Affiliates means all (i) Current Affiliates of Xylem; (ii) future Affiliates of Xylem formed as part of an internal reorganization for tax or administrative purposes and (iii) future Affiliates acquired by, or acquiring, Xylem; provided that, with respect to the Co-Exclusive Field only, Covered Affiliates shall not include any future Affiliate acquired by, or acquiring, Xylem that is a Competitor of GPI. Xylem may extend its rights under this Agreement to its Covered Affiliates and shall be liable hereunder for any breach hereof by any Covered Affiliate.

Covered Affiliates means, with respect to each Shareholder, each Affiliate controlled by such Shareholder.

Covered Affiliates means (i) Current Affiliates of Exelis or Vectrus, as applicable and (ii) future Affiliates of Exelis or Vectrus, as applicable, formed as part of an internal reorganization for tax or administrative purposes. For the avoidance of doubt, Covered Affiliates shall not include any (i) Affiliates of any third-party acquirer of Exelis or Vectrus and their respective Subsidiaries or (ii) future Affiliates of Exelis or Vectrus, as the case may be, acquired from any third party.

For the avoidance of doubt, Covered Affiliates shall not include any Affiliates of any third-party acquirer of Exelis and its Subsidiaries.

Covered Affiliates means, collectively, all Affiliates of Operator that provide or perform any portion of the Services.

Covered Affiliates has the meaning ascribed thereto in Section 6.26.

Covered Affiliates means the BMC Covered Affiliates and/or ServiceNow Covered Affiliates, as the context dictates.
