Covered Consultant definition

Covered Consultant means a non-employee of MSIM who falls under the definition of a Covered Person or is designated by Compliance as a Covered Consultant.

Covered Consultant means an individual who is an employee of TiVo as of the date of this Agreement and who remains an active consultant of TiVo, other than as a non-employee member of the TiVo Board, as of the TiVo Effective Time.

  • This Plan, any document describing this Plan, and any agreement entered into pursuant to this Plan, shall not give any Covered Employee, Covered Consultant, Purchaser, Optionee or other employee, consultant, advisor, or the like, a right to continued employment or engagement by the Company or its Subsidiaries or affect the right of the Company or its Subsidiaries to terminate the employment or engagement of any such Person with or without cause.

Covered Consultant means, with respect to the Company and any of its registered investment advisory subsidiaries, a consultant who either (i) serves in a policy making function, (ii) is an independent contractor whose activities are controlled by the Company, and who Solicits a Government Entity for the Company, or supervises, directly or indirectly, another Covered Associate, or (iii) is a former executive officer of the Company or any of its investment advisory subsidiaries. Covered Consultants are generally those persons who are not employees but are contracted by the Company to conduct advisory activities.   • Sub-consultant means an entity to whom the Consultant intends to subcontract any part of the Services while the Consultant remains responsible to the Procuring Entity during the whole performance of the Contract.

  • Sub-consultants means an entity to whom/which the Consultant subcontracts any part of the Services while remaining solely liable for the execution of the Contract.
