Covered Payments definition

Covered Payments means the amounts described in Section 6.12(a) hereof.

Covered Payments means the payments or benefits provided or to be provided by the Company or its affiliates to Executive or for Executive’s benefit pursuant to the terms of this Agreement or otherwise.

Covered Payments shall have the meaning set forth in Section 8(a).

Examples of Covered Payments in a sentence

• Only if the amount calculated under (i) above is less than the amount under (ii) above will the Covered Payments be reduced to the minimum extent necessary to ensure that no portion of the Covered Payments is subject to the Excise Tax (that amount, the “Reduced Amount”).

• Only if the amount calculated under (i) above is less than the amount under (ii) above will the Covered Payments be reduced to the minimum extent necessary to ensure that no portion of the Covered Payments is subject to the Excise Tax.

• In such event, the Covered Payments shall be reduced in the following order: (A) cash payments not subject to Section 409A; (B) cash payments subject to Section 409A; (C) equity-based payments and acceleration; and (D) non-cash forms of benefits.

• For purposes of this Agreement, the term “Safe Harbor Amount” means the largest portion of the Covered Payments that would result in no portion of the Covered Payments being subject to the Excise Tax.

• For purposes of reducing the Covered Payments to the Safe Harbor Cap, only amounts payable under this Agreement and with respect to stock options and equity awards (and no other Covered Payments) shall be reduced.

More Definitions of Covered Payments

Covered Payments means cash bonuses paid after the date of adoption of this policy and stock options, restricted stock units and any other equity-based awards granted under any stock-based plan maintained by the company. “covered period” means the period beginning on the day the financial statements that must be restated, or financial results for the latest period covered by such financial statement, are first made public, whether by press release or filing with the Securities and Exchange Commission, and ending on the date that the restated financial statements are first filed with the Securities and Exchange Commission.

Covered Payments means all payments pursuant to (1) this Agreement, (2) the Consulting Agreement, (3) the 10% Promissory Note, made as of March 15, 2002, by Boxing to Mackin, (4) section 1.4(b) of the Agreement and Plan of Merger, dated xx xx March 8, 2002, by and among Boxing, CKP, Big Content Acquisition Corp., a Delaware corporation, Big Content, Mackin and Livingston, and (5) proceeds from the sale of Zenascent Comxxx Xxock axxxxxxx xxrsuant to the warrant to purchase Zenascent Common Stock issued to Livingston and/or its Affiliates pursuant to section 1.3(a)(iii) of thx Xxxxxxx and Restated Agreement and Plan of Merger, dated as of February 21, 2002, by and among the Zenascent, Zenascent Newco Inc., a Delaware corporation, Boxing, CKP, Cedric Kushner and James DiLorenzo.

Covered Payments means the Paid Amounts, when, as and if received by the Account Bank.

Covered Payments means the gross monetary proceeds MPI receives directly from IBM or any agent of IBM pursuant to any cash settlement, monetary award granted pursuant to court-ordered arbitration or mediation proceedings, or court order based upon claims for monetary damages, in any manner arising under any one or both of the Covered Agreements.
