Covered Subsidiaries definition

Covered Subsidiaries means, as of any date of determination, any Subsidiary of the Company, the consolidated total assets of which, as of the last day of the most recent fiscal quarter of the Company for which a consolidated balance sheet of the Company and its Subsidiaries is internally available and has been prepared in accordance with GAAP, constitute at least 15% of the Company’s total consolidated assets, and any successor to any such Subsidiary whose consolidated total assets likewise satisfy such requirement; provided, however, that (i) Covered Subsidiaries shall in no event include any Subsidiary of the Company that is not itself an insurance company or the direct or indirect owner of one or more subsidiaries that is an insurance company and (ii) consolidated total assets shall be calculated giving pro forma effect to any material (as determined in good faith by the chief financial officer of the Company) asset acquisition or disposition by the Company and its Subsidiaries occurring after the end of the most recently completed fiscal quarter for which a consolidated balance sheet of the Company and its Subsidiaries is internally available, and on or prior to the date of determination (as if such acquisition or disposition occurred at the end of such completed fiscal quarter).
Covered Subsidiaries means Subsidiaries that are covered under a BGC Partners Group insurance policy.
Covered Subsidiaries means the entities identified in Schedule A hereto.

Examples of Covered Subsidiaries in a sentence

  • To the extent Motorola purchases a new type of insurance, or an amount or level of insurance not previously purchased by Motorola in order to protect, at least in part, Freescale or any of its Covered Subsidiaries, that portion of the costs and expenses of such insurance attributable to Freescale or any of its Covered Subsidiaries, as determined in Motorola’s sole discretion, shall be reimbursed by Freescale.

  • During the Covered Period, neither the Grantee nor its Covered Subsidiaries shall impose any reduction in the rate of pay of salary and wages, or in benefits (defined as benefits of the types listed in (a)(iii)-(vii) in the definition of Payroll Costs), for Employees that are not Executive Employees.

  • The Grantee and its Covered Subsidiaries shall account for Funds in a manner sufficient to:  Permit the preparation of accurate, current, and complete quarterly reports as required under this Grant Agreement; and  Permit the tracing of Funds to a level of expenditures adequate to establish that the Funds have been used as required under this Grant Agreement.

  • Freescale will reimburse Motorola for any incremental costs or expenses incurred by Motorola in connection with covering Freescale and its Covered Subsidiaries, and each of their directors and officers under any new insurance program or extension of the current insurance program that Motorola determines, in the exercise of its reasonable discretion, to be attributable to the coverage for Freescale, its Covered Subsidiaries or any of their directors or officers.

  • Motorola will cause TCS to continue to provide insurance to Freescale and its Covered Subsidiaries between the Effective Date and the Distribution Date that is comparable to that maintained generally for Motorola and its Covered Subsidiaries during the same period, subject to insurance market conditions and other factors beyond Motorola’s or TCS’s reasonable control.


More Definitions of Covered Subsidiaries

Covered Subsidiaries means each of the Subsidiaries other than any Subsidiaries that are Fund Entities. For the avoidance of doubt, the term “Covered Subsidiaries” shall not include (i) Xxxxxxx LLC or (ii) Investment Counselors of Maryland, LLC unless and until such entity becomes a “Subsidiary” as defined herein.
Covered Subsidiaries means the Subsidiaries set forth on Schedule 1.
Covered Subsidiaries means the entities set forth in Schedule 1 hereto.
Covered Subsidiaries means those Subsidiaries of the Company which are incorporated in any of the fifty states of the United States or the District of Columbia, except as otherwise determined in writing by the Administration Committee in its sole discretion and designated on Annex A attached hereto as maintained by the Administration Committee.
Covered Subsidiaries means, with respect to the Corporate Taxpayer, any Subsidiary of the Corporate Taxpayer, including Corporate Sub but excluding OpCo (and any successor of OpCo) and its Subsidiaries.
Covered Subsidiaries means Amgen USA Inc., Amgen Worldwide Services, Inc., Immunex Corporation, Immunex Manufacturing Corporation, Immunex Rhode Island Corporation, Amgen SF, LLC, Amgen Fremont Inc. and Amgen Mountain View Inc.
Covered Subsidiaries means all Subsidiaries of the Borrower other than Excluded Subsidiaries.
