Subject to the provisions of Section 5, if an Event of Default (other than an Event of Default specified in clause (a)(ii) of Section 6) occurs and is continuing, the Holder, by written notice to the Company, the BOA Agent and the Crystal Agent (an “Acceleration Notice”), may declare the unpaid principal of and accrued interest on this Note to be immediately due and payable.
Security Agent means the Bond Trustee or any successor Security Agent, acting for and on behalf of the Secured Parties in accordance with any Security Agent Agreement or any other Finance Document.
Collateral Agent as defined in the preamble hereto.
Global Agent has the meaning specified in the preamble, and any duly qualified and appointed successor or successors of U.S. Bank thereto.
Biological agent means any microorganism, virus, infectious substance, or biological product that may be engineered through biotechnology, or any naturally occurring or bioengineered component of any such microorganism, virus, infectious substance, or biological product, capable of causing:
the Agent means the estate agency described at paragraph 5 of the Schedule;
Supplemental Agent has the meaning set forth in Section 9.14(a) and “Supplemental Agents” shall have the corresponding meaning.
Collateral Agents means the Credit Agreement Collateral Agent, the Notes Collateral Agent and each Additional Collateral Agent.
Administrative Agents the collective reference to the General Administrative Agent and the Canadian Administrative Agent.
Delivery Agent means, in relation to any Series of Covered Bonds that contemplates physical settlement, the financial institution appointed as delivery agent for the purposes of such Covered Bonds and named as such in the applicable Final Terms;
ABL Administrative Agent means Bank of America in its capacity as administrative agent and collateral agent under the ABL Facilities Documentation, or any successor administrative agent and collateral agent under the ABL Facilities Documentation.
Second Lien Administrative Agent shall have the meaning assigned to the term “Administrative Agent” in the Second Lien Credit Agreement.
First Lien Administrative Agent means the “Administrative Agent” as defined in the First Lien Credit Agreement.
authorised agent means a passenger sales agent who has been appointed by us to represent us in the sale of air transportation on our services.
Collateral has the meaning set forth in Section 2.
Lead Agent has the meaning given to it above;
Creditor Representative means, with respect to Series 2023-2, the Indenture Trustee.
Contracting agent means the governing body of a

Designated Agent means any entity that performs actions or functions on behalf of the Transmission Provider, a Transmission Owner, an Eligible Customer, or the Transmission Customer required under the Tariff. Designated Entity:

Additional Agent as defined in the Base Intercreditor Agreement.
US Agent means a person (as de- fined in section 201(e) of the act (21U.S.C. 321(e))) residing or maintaining a place of business in the United States whom a foreign facility designates as its agent for purposes of this subpart. AU.S. agent cannot be in the form of a mailbox, answering machine or service, or other place where an individual act- ing as the foreign facility’s agent is not physically present.
