Currency Hedge Rate definition

Currency Hedge Rate means the weighted average hedge rate of the outstanding external foreign currency forward hedge contract(s) of Xxxxxxx & Johnson’s Global Treasury Services Center (“GTSC”) and its Affiliates with Third Party banks. The hedge contract(s) is entered into to protect the transactional foreign exchange risk exposures of Xxxxxxx by reducing the impact of foreign currency volatility through a systematic build-up of yearly currency hedge rates.

Currency Hedge Rate means the Xxxxxxx & Xxxxxxx currency hedge rate, which is the result of the effectively performed currency hedging at Xxxxxxx & Xxxxxxx for the upcoming Calendar Year and will be set up once a Calendar Year and will remain constant throughout such Calendar Year. The Xxxxxxx & Xxxxxxx currency hedge rate is calculated as a weighted average hedge rate of the outstanding external foreign currency forward hedge contracts of Xxxxxxx & Xxxxxxx with Third Party banks.

Currency Hedge Rate is calculated as a weighted average hedge rate of the outstanding external foreign currency forward hedge contract(s) of Xxxxxxx & Xxxxxxx and its Affiliates with third party banks. The hedge contract(s) protects the transactional foreign exchange risk exposures of Xxxxxxx & Xxxxxxx and its Affiliates in compliance with internal policy ensuring or establishing a systematic build up of a yearly currency hedge rate(s) (i.e. to reduce the impacts of one-off foreign currency volatility), that has proper hedge effectiveness (i.e. the hedge contract(s) is expected to be effective in offsetting changes in the cash flow of the hedge contract(s) to changes in the cash flow related to the hedged exposure) and that is not speculative (i.e. entering into a hedge contract(s) that does not reduce the risk of loss due to adverse currency movements and entering into hedge contract(s) associated with no underlying exposure).

• After the First Commercial Sale of a Product in the Territory, Xxxxxxx will promptly inform ACI of any material change in the Currency Hedge Rate methodology and calculation.

Currency Hedge Rate means the weighted average hedge rate to be used for local currency of each country, other than the United States, of the Territory as calculated by Xxxxxxx’x Affiliate Xxxxxxx & Xxxxxxx based on the outstanding external foreign currency forward hedge contract(s) of Xxxxxxx & Johnson’s Global Treasury Services Center (GTJRC) and its Affiliates with Third Party banks.

Currency Hedge Rate means the J&J currency hedge rate, which is the result of the effectively performed currency hedging at J&J for the then-current Calendar Year, as updated pursuant to Section 8.15 (Currency Exchange), and will be set up once a Calendar Year and will remain constant throughout such Calendar Year. The Currency Hedge Rate is calculated as a weighted average hedge rate of the outstanding external foreign currency forward hedge contracts of J&J with Third Party banks.
