Current Government Contract definition

Current Government Contract means any Government Contract that has not yet expired or terminated, or for which final payment has not been received.

  • Except as set forth in Schedule 5.22(h) of the Seller and Company Disclosure Schedules, there are no Current Government Contract, Government Contract Bid terms or provisions, or “organizational conflicts of interest” (as defined by FAR Subpart 9.5) mitigation plans, that would reasonably be expected to render the Company or the Business ineligible to participate on any specifically identified Government Contract or Government Contract Bid.

  • Except as disclosed in Schedule 5.22(b) of the Seller and Company Disclosure Schedules, all representations and certifications executed, acknowledged or submitted by the Company with respect to any Current Government Contract were true and accurate in all material respects as of their effective date, and the Company has complied with all such representations and certifications in all material respects, as applicable.

  • Each such Current Government Contract (x) was legally awarded to the Company, (y) is a legal, valid and binding obligation of the Company, and (z) is in full force and effect and enforceable against the Company, in accordance with its terms, subject to proper authorization and execution by the other party, bankruptcy, insolvency, reorganization, fraudulent conveyance, moratorium and other Laws of general application affecting the rights and remedies of creditors, and general principles of equity.

  • The Company has complied in all material respects with the terms and conditions of each such Current Government Contract and Government Contract Bid.


More Definitions of Current Government Contract

Current Government Contract means any Government Contract respect to which (a) the period of performance has not yet expired, (b) final payment has not been received, or (c) any claims have not been fully and finally resolved.
