Custodial Delivery definition

Custodial Delivery means the form executed by Seller in order to deliver the Purchased Loan Schedule and the Purchased Loan File to Buyer or its designee (including the Custodian) pursuant to Section 7 hereof, a form of which is attached hereto as Exhibit III.

Custodial Delivery shall have the meaning specified in the Custodial Agreement.

Custodial Delivery means compliance by Seller with the delivery obligations set forth in Section 2.01 of the Custodial Agreement.

Examples of Custodial Delivery in a sentence

• Such substitution shall be made by transfer to Buyer or its designee (including the Custodian) of the Mortgage File of such other Mortgage Loans together with a Custodial Delivery and transfer to Seller or its designee of the Purchased Mortgage Loans requested for release.

• The applicable Seller shall deliver to Custodian the Purchased Loan Documents (with an electronic copy thereof to Repo Agent), together with the related Custodial Delivery Certificate (with a copy to Repo Agent), as described in Section 7(b).

• Seller has caused this Custodial Delivery Certificate to be executed and delivered by its duly authorized officer as of the day and year first above written.

• The Custodian agrees to indemnify and hold the Purchaser, the Trustee and the Master Servicer harmless against any and all direct liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, expenses or disbursements, including reasonable attorneys' fees, that may be imposed on, incurred by, or asserted against it or them directly relating to or arising out of such Custodial Delivery Failure.

• Seller shall have delivered to Custodian, (A) with respect to each Eligible Asset to be sold to Purchaser, the applicable Custodial Delivery and (B) with respect to each Eligible Asset other than a Wet Purchased Asset, the related Purchased Asset File, in each case, in accordance with the procedures and time frames set forth in the Custodial Agreement.

Custodial Delivery means the form, executed by a Seller and delivered with the Loan Schedule and the Loan File to Buyer or its designee (including the Custodian) pursuant to Section 7 hereof, in the form of Exhibit 7-1 to the Custodial Agreement for BAC, Exhibit 7-2 to the Custodial Agreement for MHFC, and Exhibit 7-3 to the Custodial Agreement for Dynex, as such forms may be amended from time to time.

Custodial Delivery means delivery of a Mortgage Loan Schedule and/or Mortgage Files to Buyer or its designee (including Custodian) pursuant to Section 7.
