Mortgage Files definition

Mortgage Files. As defined in the Sale and Servicing Agreement.

Examples of Mortgage Files in a sentence

  • The Mortgage Loan Seller shall reasonably cooperate with any examination of the Mortgage Files for, and any other documents and records relating to, the Mortgage Loans, that may be undertaken by or on behalf of the Purchaser on or before the Closing Date.

  • The fact that the Purchaser has conducted or has failed to conduct any partial or complete examination of any of the Mortgage Files for, and/or any of such other documents and records relating to, the Mortgage Loans, shall not affect the Purchaser’s right to pursue any remedy available in equity or at law for a breach of the Mortgage Loan Seller’s representations and warranties made pursuant to Section 4, except as expressly set forth in Section 5.

  • The representations and warranties made pursuant to this Section 2.03 shall survive delivery of the respective Mortgage Files to the Trustee for the benefit of the Certificateholders.

  • Upon such final deposit with respect to the Trust Fund and the receipt by the Trustee of a Request for Release therefor, the Trustee shall promptly release to the Master Servicer the Mortgage Files for the Mortgage Loans.

  • It is understood and agreed that the representations and warranties set forth in this Section 2.04 shall survive delivery of the Mortgage Files to the Trustee.


More Definitions of Mortgage Files

Mortgage Files means originals, images or copies of all documents in the possession of Seller or its agents involved in the origination, underwriting (including borrower applications, underwriting worksheets, approvals and documented compensating factors pertaining to exceptions) related to the Pipeline Loans on the Closing Date.
Mortgage Files means, with respect to any of the Company’s Mortgage Loans, the file or files containing the photostatic copy or copies on other media and, to the extent required by applicable Law, original documents, of the Mortgage Note, any Mortgage or other documents creating or evidencing a security interest in the related Collateral and other Loan Documents with respect to each Mortgage Loan, as well as the related credit and closing packages, disclosures, custodial documents, and all other files, books, records and documents reasonably necessary to (i) establish the eligibility of the Mortgage Loans, for insurance by an insurer or for sale or delivery to an Investor, (ii) service the Mortgage Loans in accordance with Applicable Requirements, or (iii) comply with Applicable Requirements regarding documentation to be maintained by a servicer of a Mortgage Loan, or by the document custodian thereof.
Mortgage Files means all related notes, deeds of trust, mortgages, security agreements, guaranties, indemnities, financing statements, assignments, endorsements, correspondence, bonds, letters of credit, accounts, insurance contracts and policies, credit reports, tax returns, appraisals, environmental reports, escrow documents, participation agreements (if applicable), loan files, servicing files and all other documents evidencing, securing or pertaining to the Mortgage Loans.
Mortgage Files. For each Mortgage Loan, the items listed on Exhibit B of the Sale and Servicing Agreement.
Mortgage Files means the file or files containing the photostatic copy or copies on any other media and, to the extent required by applicable Law or Applicable Requirements, original documents, of the Mortgage Note, any Mortgage or other documents creating or evidencing a security interest in the related Collateral and other related loan documents, including the related credit and closing packages, disclosures, custodial documents, and all other files, books, records and documents related to the foregoing reasonably necessary to (i) establish the eligibility of the Mortgage Loans for insurance by an Insurer or for sale or delivery to the Company or an Investor, (ii) Service the Mortgage Loans in accordance with applicable Laws, Applicable Requirements, and the Mortgage Loan Regulations, or (iii) comply with applicable Laws, Applicable Requirements, and the Mortgage Loan Regulations regarding documentation to be maintained by a servicer of a Mortgage Loan, or by the document custodian thereof.
Mortgage Files means, with respect to any Mortgage Loan, the financing and Mortgage files in the possession of, or held for the account of, the Seller, including Mortgage Financing Contracts, Mortgage Notes, lock agreements, payment histories, credit reports, records, collateral files, record books, written notes, financial records, memoranda, and other written documentation whether in hard copy or electronic format.
Mortgage Files means the mortgage documents pertaining to a particular Mortgage Loan and any additional documents required to be added to the Mortgage File pursuant to this Agreement or the [Transfer] [Pooling] and Servicing Agreement.
