Customary Consent definition

Customary Consent means any Consent that is not required prior to, or is customarily obtained after, the assignment of any of the applicable interests, assets, properties, or interests included in the Asset Seller Assets or the Subject Securities.
Customary Consent means any Consent to (or that is otherwise applicable to and/or triggered by) the assignment or conveyance of all or any part of any of the Assets (including any of the applicable interests, assets or properties or interests included therein) in connection with the transactions contemplated by this Agreement that (a) is not required to be obtained from, or waived by, the applicable Person (including, for purposes of clarity, any Governmental Authority) that is the holder thereof prior to the Closing (or that is or may be customarily obtained thereafter) and/or (b) cannot be unreasonably withheld, conditioned and/or delayed.
Customary Consent means any Consent from any Governmental Authority for the assignment of the Assets to Purchaser that is customarily obtained after the assignment of interests similar to the Assets.

Customary Consent means (i) any Consent from any federal, state or tribal agency for the assignment of the Operating Affiliate Assets contemplated under Section 8.20(b) or Section 8.20(c) or (ii) any election with respect to, or designation or appointment of, a successor operator of the Operating Affiliate Assets pursuant to any joint operating agreement in connection with the assignment of the Operating Affiliate Assets contemplated under Section 8.20(b) or Section 8.20(c), in each case of clauses (i) and (ii), that is customarily obtained after the assignment of interests similar to the Operating Affiliate Assets.”

  • Customary Post-Closing Consents means the consents and approvals from Governmental Bodies for the assignment of the Assets to Purchaser that are customarily obtained after the assignment of properties similar to the Assets.

  • Necessary Consents means all planning permissions and all other consents, licences, permissions, certificates, authorisations and approvals whether of a public or private nature which shall be required by any Competent Authority for the Permitted Use;

  • Relevant Supervisory Consent means, in relation to any redemption or purchase of the Notes, any required permission of the Relevant Regulator applicable to the Company or the Relevant UK Resolution Authority (as applicable). For the avoidance of doubt, Relevant Supervisory Consent will not be required if either (i) none of the Debt Securities qualify as part of the Issuer’s regulatory capital, or own funds and eligible liabilities or loss absorbing capacity instruments, as the case may be, each pursuant to the Loss Absorption Regulations, (ii) the relevant Debt Securities are repurchased for market-making purposes in accordance with any permission given by the Relevant Regulator pursuant to the Loss Absorption Regulations within the limits prescribed in such permission or (iii) the relevant Debt Securities are being redeemed or repurchased pursuant to any general prior permission granted by the Relevant Regulator or the Relevant UK Resolution Authority (as applicable) pursuant to the Loss Absorption Regulations within the limits prescribed in such permission.

  • Material Consents as defined in Section 7.3.

  • Governmental Consents has the meaning set forth in Section 3.5.

  • Consents, Clearances and Permits means all authorizations, licenses, approvals, registrations, permits, waivers, privileges, acknowledgements, agreements, or concessions required to be obtained from or provided by any concerned authority for the purpose of setting up of the generation facilities and/ or supply of power;

  • Initial approval means authorization to admit students and enter into contractual agreements for clinical facilities. It is granted only after an application has been submitted, reviewed and a survey visit made by the Board. No students shall be admitted to the program until the institution has received written notification that initial approval has been granted. Failure to comply will delay initial approval.

  • Required Permits shall have the meaning set forth in Section 6.24.

  • Conditional approval means a time-limited status that results when an approved nursing education program has failed to maintain requirements as set forth in this chapter.

  • Written or “in writing” means handwritten in ink or any form of electronic or mechanical writing.

  • Customary Servicing Practices means the customary servicing practices of the Servicer or any Sub-Servicer with respect to all comparable motor vehicle receivables that the Servicer or such Sub-Servicer, as applicable, services for itself and others, as such customary servicing practices may be changed from time to time, it being understood that the Servicer and the Sub-Servicers may not have the same “Customary Servicing Practices.”
