Data Return and Destruction of Data. (a) Protecting PII from unauthorized access and disclosure is of the utmost importance to the EA, and Contractor agrees that it is prohibited from retaining PII or continued access to PII or any copy, summary or extract of PII, on any storage medium (including, without limitation, in secure data centers and/or cloud-based facilities) whatsoever beyond the period of providing Services to the EA, unless such retention is either expressly authorized for a prescribed period by the Service Agreement or other written agreement between the Parties, or expressly requested by the EA for purposes of facilitating the transfer of PII to the EA or expressly required by law. As applicable, upon expiration or termination of the Service Agreement, Contractor shall transfer PII, in a format agreed to by the Parties to the EA.

The EA may use the administrator portal to delete PII at any time or may request assistance from Contractor to do so. If not deleted by the EA, Contractor will automatically delete all PII from its servers after a period of no more than two (2) years following termination of the subscription, and from all backup servers after two (2) additional weeks.

As applicable, upon expiration or termination of the Service Agreement, Contractor shall transfer PII, in a format agreed to by the Parties to JCSD.

The terms of this Section II.9(a) do not apply to PII saved to backup or disaster-recovery media that is not readily accessible (e.g., backup tapes), however Contractor agrees to otherwise abide by the terms of this DPA for so long as PII is saved to such media.

As applicable, upon expiration or termination of this Agreement and written election by the EA, Contractor shall transfer PII, in a format agreed to by the Parties, to the EA.

As applicable, within thirty (30) day written notice, on the expiration or termination of the Service Agreement, Contractor shall transfer, or make available EA PII, in an industry standard format agreed to by the Parties to the EA.

As applicable, upon expiration or termination of the Agreement as the case may be, Contractor shall transfer PII, in a format agreed to by the Parties to the EA.

(a) Protecting PII from unauthorized access and disclosure is of the utmost importance to the District, and the Contractor agrees that it is prohibited from retaining PII or continued access to PII or any copy, summary or extract of PII, on any storage medium (including, without limitation, in secure data centers and/or cloud-based facilities) whatsoever beyond the period of providing Services to the District and upon notice from District to Contractor which specifies the data which was provided to Contractor pursuant to the express underlying agreement between the parties, unless such retention is expressly authorized for a prescribed period by the Service Agreement or other written agreement between the Parties, expressly requested by the District for purposes of facilitating the transfer of PII to the District or expressly required by law. As applicable, upon expiration or termination of the Service Agreement, the Contractor will transfer PII, in a format agreed to by the Parties to the District.

Nothing in this Agreement alters the obligations of University of Oregon with regards Oregon Public Records Law, ORS 192.311 to ORS 192.478 or policy regarding retaining records as a public entity.
