Day 2 definition

Day 2 means logical and physical separation such that the information technology systems required to run the GM Business in a stand-alone application environment, a stand alone database environment and a stand-alone physical data center environment, including, for example, in cases where a physical move of the application may be required, such as a move from a Delphi-wide environment to a GM Business dedicated environment.

Day 2 has the meaning given such term in Clause 10(c)(ii).

Day 2 means logical and physical separation such that the information technology systems required to run the Business are operating in a stand-alone application environment, a stand alone database environment and a non-Delphi physical data center environment, including, for example, in cases where a physical move of the application may be required, such as a move from a Delphi-wide environment to a Steering dedicated environment within an HP data center or from a Delphi-owned data center environment to an environment dedicated solely to the Business; to be effected, in each case, in a manner which is reasonably acceptable to Delphi.

Day 2 means the day when Agilent ceases operating the business for the benefit of Buyer, and Buyer commences operating the business for its own benefit. The parties anticipate that Day 2 may be 90 days following Day 1, more or less, as the parties may hereafter agree between them.
