Debenture Documents definition

Debenture Documents means each of the following documents:

Debenture Documents means this Indenture, the Debentures, the Subordination Agreement and all other certificates, instruments, notices, agreements and documents delivered or to be delivered pursuant to this Indenture, the Debentures or the Subordination Agreement, each as amended, modified, supplemented, restated or replaced from time to time;

Debenture Documents means (i) the Debenture Indenture, (ii) the Convertible Debentures, and(iii) all documentation relating to the foregoing.

Examples of Debenture Documents in a sentence

• The Company believes that the following risk factors may affect its ability to fulfil its obligations under the Debentures issued under the Debenture Documents.

• The monies advanced under the Debenture Documents are for a commercial transaction and all defences under any laws relating to charging of interest (including usury laws) are hereby irrevocably waived by the Issuer.

• The Issuer shall pay to the Debenture Holders and the Debenture Trustee all amounts due or payable under this Deed and the other Debenture Documents on the respective Debenture Payment Dates.

• The Holder and the Agent have fully and timely performed all of its obligations and duties in compliance with the Debenture Documents and applicable law, and has acted reasonably, in good faith and appropriately under the circumstances.

• The Issuer shall, at its own costs and expense, execute and deliver such further instruments and shall take such further actions as the Debenture Holders and Debenture Trustee may, from time to time request in order to carry out the intent and provisions of the Debenture Documents.

More Definitions of Debenture Documents

Debenture Documents means the Existing Debenture Documents and the New Debenture Documents, collectively.

Debenture Documents means this Agreement and each Debenture Certificate.

Debenture Documents means this Indenture, the Debentures and the Debenture Guarantees.

Debenture Documents means (i) the Debenture Purchase Agreement and (ii) the Transaction Documents (as defined in the Debenture Purchase Agreement).

Debenture Documents means the Indenture and the other Collateral Documents (as defined in the Indenture) and each of the other agreements, documents and instruments providing for or evidencing any Debenture Obligation, and any other document or instrument executed or delivered at any time in connection with any Debenture Obligations, including any intercreditor or joinder agreement among holders of Debenture Obligations, to the extent such are effective at the relevant time, as each may be modified from time to time.

Debenture Documents means collectively the Transaction Documents, the Offer Documents, the Debenture Trustee Agreement, the consent letters issued by the Trustee, Registrar and Transfer Agent and Credit Rating Agency for inclusion of their respective details in the Information Memorandum, the rating letter from the Credit Rating Agency , the letters appointing the Registrar and Transfer Agent with respect to the issuance of the Debentures, the tripartite agreement entered among the Issuer, its Registrar and Transfer Agent and the Depository with respect to the issuance of the Debentures, the listing agreement between the Issuer and the Stock Exchange for listing the Debentures, all other documents in relation to the issuance of the Debentures, the in-principle listing approval from the relevant Stock Exchange for the Debentures and any other document designated as a Transaction Document by the Issuer and the Trustee (or the Debentureholders, as the case may be);

Debenture Documents means the Debentureholders’ Representative Appointment Agreement, the Debenture Conditions, the Debenture Certificates, each relating to the issuance of the Debentures.
