Definitive Instrument definition

Definitive Instrument means an Instrument in definitive form having, where appropriate, Coupons and/or a Talon attached on issue and, unless the context requires otherwise, includes any replacement Instrument issued pursuant to the Conditions;
Definitive Instrument means a Certificate other than a Global Certificate and includes any replacement Instrument or Certificate issued pursuant to the Conditions;
Definitive Instrument means a definitive Instrument substantially in the form set out in Schedule 3 (Form of Definitive Instrument) of this Agreement;

Examples of Definitive Instrument in a sentence

  • Payment of Instalment Amounts (other than the final Instalment Amount) in respect of an Instalment Instrument which is a Definitive Instrument with Receipts will be made against presentation of the Instrument together with the relevant Receipt and surrender of such Receipt.

  • Until the Issuer is informed of any new address as aforesaid it shall be entitled to deliver notices concerning such Definitive Instrument to the last address notified to it as aforesaid, and any notice so given shall be deemed validly given notwithstanding that the relevant Definitive Instrument may have been transferred.

  • No interest or other payment will be made as a consequence of the day on which the Global Instrument or Definitive Instrument, as the case may be, may be presented for payment under this Condition falling after the due date.

  • Upon any transfer of a Definitive Instrument, the new holder of such Definitive Instrument must provide to the Issuer at its specified office an address to which notices concerning such Definitive Instrument may be validly given.

  • Payment of Instalment Amounts (other than the final Instalment Amount) in respect of an Instalment Instrument which is a Definitive Instrument with Receipts will be made against presentation of the Instrument together with (where applicable) the relevant Receipt and surrender of such Receipt.

Definitive Instrument means a Bearer Instrument in definitive form having, where appropriate, Coupons, Receipt(s) and/or a Talon attached on issue and, unless the context requires otherwise, means a Certificate other than a Global Certificate and includes any replacement Instrument or Certificate issued pursuant to the Conditions;

For the avoidance of doubt, in the case of Instruments issued under the Programme which are not admitted to trading on the London Stock Exchange’s regulated market, all references to the Final Terms shall be construed as references to the pricing supplement substantially in the form set forth in the Prospectus. “Global Instrument” means a temporary Global Instrument and/or, as the context may require, a permanent Global Instrument, a CGN or a NGN, as the context may require. “holder” in relation to an Instrument Coupon or Talon, and “Couponholder” and “Instrumentholder” have the meanings given to them in the Conditions. “Instruments” means the bearer debt instruments to be issued by the Issuer pursuant to the Dealer Agreement, constituted by this Trust Deed and for the time being outstanding or, as the context may require, a specific number of them. “Issuing and Paying Agent” means the person named as such in the Conditions or any Successor Issuing and Paying Agent in each case at its specified office. “month” means a calendar month. “NGN” means a temporary Global Instrument in the form set out in Part C of Schedule 1 or a permanent Global Instrument in the form set out in Part D of Schedule 1. “outstanding” means, in relation to the Instruments, all the Instruments issued except (a) those that have been redeemed in accordance with the Conditions, (b) those in respect of A39131566 2
Definitive Instrument means either a Bearer Note in definitive form having, where appropriate, Coupons, Receipt(s) and/or a Talon attached thereto on issue or a Certificate (other than a Global Certificate), as the case may be;
