Examples of Delayed Settlement Date in a sentence
If (a) the Debt is a Performing Loan, (b) the terms relating to “Paid on Settlement Date” set forth in Section 5 are applicable to the Transaction and (c) the Assignment Effective Date occurs on a Delayed Settlement Date, then the “Paid On Settlement Date Amount” shall be deemed to mean an amount equal to the accrued but unpaid amount of Interest and Accruing Fees and, if applicable, Adequate Protection Payments, to (but excluding) the Commencement Date.
Seller may only provide advanced notification of a Proposed Delayed Settlement Date to the extent Seller reasonably determines in good faith that all required consents, acknowledgments, and other actions will have been satisfied to settle the Transaction on the Proposed Delayed Settlement Date.
If Seller does not timely provide Buyer with advanced notification of a Proposed Delayed Settlement Date then Buyer shall be obligated to pay the Purchase Price no later than the Business Day immediately following the date Seller provides Buyer with notice of the Assignment Effective Date.
In the event Seller receives, on or after the Delayed Settlement Date, any such accrued but unpaid amounts referenced in the immediately preceding sentence, Seller shall promptly forward such amounts to Buyer.
All Interest and Accruing Fees and, if applicable, Adequate Protection Payments, accrued and paid by the obligor(s) with respect to the Purchase Amount of the Debt and allocable to the Delay Period shall be for the account of Buyer and shall be credited to Buyer by Seller on the Delayed Settlement Date.
For the avoidance of doubt, in the event of a Change in Control that is not also a 409A Change in Control Event and, as a result, such Restricted Stock Units are not to be settled until the Delayed Settlement Date, such vested Restricted Stock Units shall represent the right to receive the consideration received by the shareholders of the Company in connection with such Change in Control on the Delayed Settlement Date.
For the avoidance of doubt, in the event of a Change in Control that is not also a 409A Change in Control Event and, as a result, such Restricted Stock Units are not settled until the Delayed Settlement Date, such vested Restricted Stock Units shall represent the right to receive the consideration received by the shareholders of the Company in connection with such Change in Control on the Delayed Settlement Date.
For the avoidance of doubt, any Awards of Conditional Shares which have already Vested, including any Vested Conditional Shares subject to a Delayed Settlement Date, will be unaffected by this provision and such Vested Conditional Shares, which have not been Settled by the Date of Termination of the Employment, will be Settled in accordance with Rule 8 as soon as possible after the Date of Termination of the Employment.
For avoidance of doubt, any Award of Conditional Shares which has already Vested, including any Vested Conditional Shares subject to a Delayed Settlement Date, will be unaffected by this provision and such Vested Conditional Shares, which have not been Settled by the Date of Termination of the Employment, will be Settled in accordance with Rule 8 as soon as possible after the Date of Termination of the Employment.
