Demand Parties definition

Demand Parties means, (i) the holders of at least a majority of the Parthenon Investor Registrable Securities and (ii) the holders of at least a majority of the Xxxxx Investor Registrable Securities.
Demand Parties means, collectively, the holders of at least a majority of the Parthenon Investor Registrable Securities and, at any time during the Interim Period and on or following the Parthenon Non-Exclusive Date, the holders of at least a majority of the Xxxxx Investor Registrable Securities; provided that the holders of the Xxxxx Investor Registrable Securities shall no longer be a Demand Party during the Interim Period after such time net proceeds (excluding underwriting discounts and commissions) of all Xxxxx Interim Offerings equal $150,000,000.
Demand Parties means, (i) the holders of at least a majority of the Parthenon Investor Registrable Securities and (ii) the holders of at least a majority of the Hsieh Investor Registrable Securities.

Examples of Demand Parties in a sentence

  • Once a Shelf Registration Statement has been declared effective, the Demand Parties may request, and the Company shall be required to facilitate, subject to Section 2.1(b), an unlimited number of Shelf Underwritings with respect to such Shelf Registration Statement.

  • In addition to the Long-Form Registrations provided pursuant to Section 2(b), each of the Demand Parties shall be entitled to an unlimited number of Short-Form Registrations.

  • In connection with the provisions of this Section 3, the Demand Parties shall be limited to a number equal to ten Demand Registrations in the aggregate (including shelf demand registrations if the Corporation is eligible).

Related to Demand Parties

  • Demand Party has the meaning set forth in Section 2.2(a).

  • Initiating Holders means, collectively, Holders who properly initiate a registration request under this Agreement.

  • Demand Request shall have the meaning set forth in Section 2.1.

  • Requesting Holders shall have the meaning given in Section 2.1.5.

  • Demand Registration Request shall have the meaning set forth in Section 3.1.1(a).

  • Demand Date means, with respect to a transfer by a party:

  • Demand Notice has the meaning set forth in Section 2(a)(i).

  • Demand Registration shall have the meaning given in subsection 2.1.1.

  • Initiating Holder has the meaning set forth in Section 2.01(a).

  • Acting Holders means, at the time of determination, Holders of at least 40% of the outstanding CVRs as set forth on the CVR Register.

  • Shelf Takedown means an Underwritten Shelf Takedown or any proposed transfer or sale using a Registration Statement, including a Piggyback Registration.

  • Shelf Takedown Request shall have the meaning set forth in Section 3.2.5(a).

  • Underwriters’ Representative means the managing underwriter, or, in the case of a co-managed underwriting, the managing underwriter designated as the Underwriters' Representative by the co-managers.

  • Other Holders means holders of securities of the Company (other than Purchasers) who are entitled, by contract with the Company, to have securities included in a Registration Statement.

  • Registrable Securities means all of the Shares and the Warrant Shares, together with any shares of Common Stock issued or issuable upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Included Registrable Securities has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • Registrable Shares means (i) the Common Stock issuable or issued upon conversion pursuant to Section 2.5 of this Agreement, and (ii) any Common Stock or other securities issued or issuable in respect of shares referenced in (i) above, upon any stock split, stock dividend, recapitalization, or similar event; excluding in all cases, however, any Registrable Securities sold by a Person in a transaction in which such Person's rights under this Section 10 are not assigned.

  • Demand Registrations has the meaning set forth in Section 2(a).

  • Demand Registration Statement has the meaning set forth in Section 2.01(a).

  • Selling Holders means, with respect to a specified registration pursuant to this Agreement, Holders whose Registrable Securities are included in such registration.

  • Existing Holders shall have the meaning given in the Preamble.

  • Registration Notice has the meaning specified in Section 2.1(a).

  • Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders, and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares.

  • Demanding Holders shall have the meaning given in subsection 2.1.1.

  • Other Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their securities in certain registrations hereunder.
