Designated Guarantor Senior Debt definition

Designated Guarantor Senior Debt shall have the meaning given to such term in a Board Resolution, Officer’s Certificate or indenture supplemental hereto delivered pursuant to Section 3.1.
Designated Guarantor Senior Debt means (i) Indebtedness of any Guarantor under the Credit Agreement and (ii) any other Indebtedness constituting Guarantor Senior Debt which, at the time of determination, has an aggregate principal amount of at least $25.0 million and is specifically designated in the instrument evidencing such Guarantor Senior Debt as "Designated Guarantor Senior Debt" by the Guarantor incurring said Guarantor Senior Debt.
Designated Guarantor Senior Debt shall have the meaning given to such term in any Board Resolution or indenture supplemental hereto.

Examples of Designated Guarantor Senior Debt in a sentence

  • If the Trustee does not file a proper proof of claim or proof of debt in the form required in any proceeding referred to in Section 6.09 hereof at least 30 days before the expiration of the time to file such claim, a Representative of Designated Guarantor Senior Debt is hereby authorized to file an appropriate claim for and on behalf of the Holders of the Notes.

More Definitions of Designated Guarantor Senior Debt

Designated Guarantor Senior Debt means (i) any Indebtedness of the Guarantor outstanding under the Credit Facility, including any Guarantee thereof, and (ii) any other Guarantor Senior Debt permitted under the Indenture the principal amount of which is $25.0 million or more and that has been designated by the Guarantor as "DESIGNATED GUARANTOR SENIOR DEBT".
Designated Guarantor Senior Debt means, with respect to a Subsidiary Guarantor, amounts owing by such Restricted Subsidiary under the Credit Facility and guarantees, if any, by such Subsidiary Guarantor of Designated Senior Debt.
