Designated Swap Agreement definition

Designated Swap Agreement means any Swap Agreement between the Borrower and a Lender or an Affiliate of a Lender at the time it enters into such Swap Agreement, which has been designated in writing at any time on or after the Effective Date by the applicable Lender (or Affiliate of a Lender) to the Administrative Agent and the Borrower as a “Designated Swap Agreement”. Each holder of Designated Swap Obligations that is not a party to this Agreement that has given the notice contemplated by the preceding sentence shall, by such notice, be deemed to have acknowledged and accepted the appointment of the Administrative Agent pursuant to the terms of Article VIII hereof for itself and its Affiliates as if a “Lender” party hereto.
Designated Swap Agreement means any Swap Agreement (i) entered into by any Subsidiary of the Borrower that is not a Guarantor with any Person that is a Lender or Affiliate of any Lender and (ii) designated in writing by the Borrower to the Administrative Agent as a “Designated Swap Agreement” for purposes of the Guaranty.
Designated Swap Agreement means (i) any Swap Agreement permitted under Section 6.05, entered into between the Domestic Borrower and any Lender (as a swap counterparty) for the purpose of hedging currency exchange risk associated with the Domestic Borrower's foreign operations; and (ii) any other Swap Agreement permitted under Section 6.05, to which the Domestic Borrower is a party which, pursuant to a written instrument signed by the Required Lenders, has been designated as a Designated Swap Agreement, so that (in the case of both (i) and (ii)) the Domestic Borrower's counterparty thereunder will be entitled to share in the benefits of the Guaranty of Payment and the Collateral Documents, to the extent the Guaranty of Payment and Collateral Documents provide a guaranty or security for creditors of the Domestic Borrower under Designated Swap Agreements.

Designated Swap Agreement means any Swap Agreement to which the Domestic Borrower is a party which, pursuant to a written instrument signed by the Required Lenders, has been designated as a Designated Swap Agreement so that the Domestic Borrower's counterparty thereunder will be entitled to share in the benefits of the Guaranty of Payment and the Collateral Documents, to the extent the Guaranty of Payment and Collateral Documents provide a guaranty or security for creditors of the Domestic Borrower under Designated Swap Agreements.
Designated Swap Agreement means (i) any Swap Agreement between the Borrower and a Lender or an Affiliate of a Lender at the time it enters into such Swap Agreement or (ii) any Swap Agreement existing on the First Amendment Effective Date between the Borrower and a Lender or an Affiliate of a Lender, that, in the case of any such Swap Agreement referred to in immediately preceding clauses (i) and (ii), has been designated in writing at any time on or after the First Amendment Effective Date by the applicable Lender (or Affiliate of a Lender) to the Administrative Agent and the Borrower as a “Designated Swap Agreement”. Each holder of Designated Swap Obligations that is not a party to this Agreement that has given the notice contemplated by the preceding sentence shall, by such notice, be deemed to have acknowledged and accepted the appointment of the Administrative Agent pursuant to the terms of Article VIII hereof for itself and its Affiliates as if a “Lender” party hereto.

  • Swap Agreement means any agreement with respect to any swap, forward, future or derivative transaction or option or similar agreement involving, or settled by reference to, one or more rates, currencies, commodities, equity or debt instruments or securities, or economic, financial or pricing indices or measures of economic, financial or pricing risk or value or any similar transaction or any combination of these transactions; provided that no phantom stock or similar plan providing for payments only on account of services provided by current or former directors, officers, employees or consultants of the Borrower or the Subsidiaries shall be a Swap Agreement.

  • Secured Swap Agreement means a Swap Agreement between (a) any Loan Party and (b) a Secured Swap Provider.

  • Specified Swap Agreement any Swap Agreement entered into by the Borrower and any Qualified Counterparty (or any Person who was a Qualified Counterparty as of the Closing Date or as of the date such Swap Agreement was entered into) in respect of interest rates to the extent permitted under Section 7.13.

  • Hedging Agreement Provider means any Person that enters into a Hedging Agreement with a Credit Party or any of its Subsidiaries that is permitted hereunder to the extent such Person is a (a) Lender, (b) an Affiliate of a Lender or (c) any other Person that was a Lender (or an Affiliate of a Lender) at the time it entered into the Hedging Agreement but has ceased to be a Lender (or whose Affiliate has ceased to be a Lender) under the Credit Agreement.

  • Hedging Agreement means any interest rate, foreign currency, commodity or equity swap, collar, cap, floor or forward rate agreement, or other agreement or arrangement designed to protect against fluctuations in interest rates or currency, commodity or equity values (including, without limitation, any option with respect to any of the foregoing and any combination of the foregoing agreements or arrangements), and any confirmation executed in connection with any such agreement or arrangement.

  • Hedge Agreement means (i) any interest rate swap agreement, any interest rate cap agreement, any interest rate collar agreement or other similar interest rate management agreement or arrangement, (ii) any currency swap or option agreement, foreign exchange contract, forward currency purchase agreement or similar currency management agreement or arrangement or (iii) any Commodities Hedge Agreement.

  • Commodity Hedging Agreement means any forward contract, swap, option, hedge or other similar financial agreement or arrangement designed to protect against fluctuations in commodity prices.

  • Interest Hedge Agreement means an interest rate protection agreement that may be entered into between the Borrower and an Interest Hedge Counterparty on or after the Closing Date, for the sole purpose of hedging interest rate risk between the portfolio of Collateral Loans and the Loans, as amended from time to time in accordance with the terms thereof, with respect to which the Rating Condition is satisfied.

  • Secured Hedging Agreement means any Hedging Agreement between a Credit Party and a Hedging Agreement Provider, as amended, restated, amended and restated, modified, supplemented or extended from time to time.
