DexCom Indemnitees definition

DexCom Indemnitees has the meaning set forth in Section 11.4.1.

• The remuneration earned by PwC and related practices of PwC (including overseas PricewaterhouseCoopers firms) during the 12 month period ended 31 March 2011 for services provided to TFA is disclosed in the notes to and forming part of the consolidated financial statements of the Company at the end or during that 12 month period and extracted in the above table.

• GLS’s obligation to Indemnify the DexCom Indemnitees pursuant to this Section 11.4.1 shall not apply to the extent that any such Losses arise from the gross negligence or intentional misconduct of any DexCom Indemnitee, arise from any material breach by DexCom of this Agreement; or are Losses for which DexCom is obligated to Indemnify the GLS Indemnitees pursuant to Section 11.4.3.

• The Asset Manager has put in place a discounting policy suitable for each asset class received as financial collateral.
