Dilution Limit definition

Dilution Limit means an amount equal to the product of (i) 1.0% of the total number of REIT Shares and Partnership Common Units outstanding on the Class IX High Performance Valuation Date, on a fully diluted basis (excluding any Partnership Common Units held by the Previous General Partner or any of its wholly owned subsidiaries), and (ii) a fraction, the numerator of which is the number of Pre-Adjustment Units, and the denominator of which is 5,000.

Notwithstanding the foregoing, the Committee shall interpret this Section in a manner that is consistent with Code Section 409A and the regulations thereunder, including without limitation guidance issued in connection with that Section.
