DIP ABL Facility Claims definition

DIP ABL Facility Claims means any Claim held by the DIP ABL Facility Lenders or the DIP ABL Facility Agent arising under or related to the DIP ABL Facility Documents.
DIP ABL Facility Claims means any and all Claims arising from, under, or in connection with the DIP ABL Credit Agreement, which as of the Effective Date shall be deemed Allowed in an amount equal to (i) the principal amount outstanding under the DIP ABL Loan Documents on such date, (ii) all interest accrued and unpaid thereon to the date of payment, (iii) all accrued and unpaid fees, expenses, and non-contingent indemnification obligations payable under the DIP ABL Credit Agreement and the DIP Orders, and (iv) all other “Secured Obligations” as defined in the DIP ABL Credit Agreement other than Contingent DIP Obligations, which shall otherwise survive the Effective Date and shall be Paid in Full in Cash as soon as reasonably practicable after they become due and payable under the DIP ABL Credit Agreement.
DIP ABL Facility Claims means any and all Claims arising from, under, or in connection with the DIP ABL Credit Agreement or any other DIP ABL Loan Documents, including Claims for all principal amounts outstanding, interest, fees, expenses, costs, and other charges and all other “Secured Obligations” as defined in the DIP ABL Credit Agreement.

  • The DIP ABL Agent shall be deemed to be the holder of all DIP ABL Facility Claims for purposes of distributions to be made hereunder, and all distributions on account of such DIP ABL Facility Claims shall be made to the DIP ABL Agent.

  • DIP Facility Claims means all Claims held by the DIP Facility Agent and the DIP Facility Lenders pursuant to the DIP Facility Agreements and the Final DIP Order.

Any fees or charges assessed against the Estates under section 1930 of chapter 123 of title 28 of the United States Code are excluded from the definition of Administrative Claims and shall be paid in accordance with Article V.N of the Plan. Notwithstanding anything to the contrary in this Plan, the filing of an Administrative Claim shall not be required in order to receive payment for any tax liability described in sections 503(b)(1)(B) and (C) in accordance with section 503(b)(1)(D) of the Bankruptcy Code.

  • Administrative Claims Bar Date means the deadline for Filing requests for payment of Administrative Claims, which: (a) with respect to Administrative Claims other than Professional Fee Claims, shall be 30 days after the Effective Date; and (b) with respect to Professional Fee Claims, shall be 45 days after the Effective Date.

  • Prepetition means arising or accruing prior to the Petition Date.

  • ABL Facility Documents means the agreements and other instruments governing the ABL Facility, together with any guarantees thereof and any security documents, other collateral documents and other instruments relating thereto (including documents and instruments governing Hedging Obligations required by the ABL Facility or relating to ABL Obligations).
