DIP ABL Credit Agreement definition

DIP ABL Credit Agreement means that certain debtor-in-possession credit agreement by and among the Debtors, the DIP ABL Agent, and the DIP ABL Lenders, as may be amended, modified, restated, or supplemented from time to time.

DIP ABL Credit Agreement has the meaning set forth in the recitals to the Agreement.

DIP ABL Credit Agreement means that certain Senior Secured Debtor-in-Possession Credit Agreement, dated as of July 14, 2020, by and among the Debtors, the DIP ABL Agent, and the DIP ABL Lenders, as amended, amended and restated, supplemented or otherwise modified from time to time in accordance with the terms thereof prior to the Effective Date.

• The DIP ABL Claims shall be satisfied in full by either: (a) the conversion on the Effective Date of the DIP ABL Facility into the New ABL Facility in accordance with the terms and conditions of the DIP ABL Credit Agreement; or (b) the termination of all commitments, payment in full in Cash of all outstanding obligations and cash collateralization, return or backstopping of all letters of credit issued thereunder in a manner satisfactory to the DIP Agent.

• Pursuant to the DIP ABL Credit Agreement, all distributions pursuant to this Article II.C.1 shall be made to the DIP ABL Agent for distributions to the DIP ABL Lenders in accordance with the DIP ABL Credit Agreement and DIP ABL Loan Documents.

• For the avoidance of doubt, no provisions of the Plan Supplement may contradict the provisions under the Plan that require payment in full (in accordance with Section 1.4 of the DIP ABL Credit Agreement) of the DIP ABL Claims.

• This Agreement is a Security Document executed pursuant to the DIP ABL Credit Agreement and shall (unless otherwise expressly indicated herein) be construed, administered and applied in accordance with the terms of the DIP ABL Credit Agreement.

• The parties hereto acknowledge and agree that JPMCB and the Lenders shall be entitled to reimbursement of expenses as to the extent provided in Section 9.05 of the DIP ABL Credit Agreement.

DIP ABL Credit Agreement means the Prepetition ABL Credit Agreement, as ratified and amended by that certain Ratification and Amendment Agreement dated as of March 9, 2021, between the DIP ABL Lender and the applicable Debtors, as approved by the DIP Order, and all other agreements, documents, instruments, and amendments related thereto.

DIP ABL Credit Agreement means that certain Prepetition ABL Credit Agreement as ratified and amended by that certain Ratification and Amendment Agreement, dated as of February 5, 2018, together with the amended Credit Agreement attached thereto as Exhibit “A”, among Cenveo Corporation, as borrower, the Guarantors, as guarantors, the ABL Agent, and each of the lenders from time to time party thereto, as amended, modified, or supplemented from time to time, as approved by the DIP Financing Orders.

DIP ABL Credit Agreement means the Senior Secured, Super-Priority Debtor-in-Possession ABL Loan and Security Agreement dated as of May 8, 2020 (as amended, restated, supplemented or otherwise modified from time to time in accordance with the terms thereof), by and among the Borrower, the guarantors party thereto, the DIP ABL Agent and the DIP ABL Lenders.

DIP ABL Credit Agreement means that certain Senior Secured Debtor-in-Possession Credit Agreement dated of even date herewith among the Borrower, the lenders and other parties thereto from time to time and the DIP ABL Agent, as amended, restated, supplemented or otherwise modified from time to time in accordance with the Intercreditor Agreement.
