DIP Term Sheet definition

DIP Term Sheet means that certain term sheet providing the terms of the DIP Facility, which is attached to the RSA as Exhibit D and is dated as of January 25, 2021, by and among the Debtors and the DIP Lender, as may be amended, modified, restated, or supplemented from time to time.

DIP Term Sheet means the term sheet setting forth the terms and conditions of the DIP Facility.

DIP Term Sheet has the meaning set forth in the recitals to this Agreement.

• The Debtors seek final approval of the DIP Facility and use of Cash Collateral on the terms described in this Final Order (which is in form and substance reasonably acceptable to the DIP Agent, the Required DIP Lenders (as such term is defined in the DIP Term Sheet), and the Prepetition Secured Parties), in each case, to administer their Chapter 11 Cases and fund their operations.

• THIS COURT ORDERS that the Applicants shall deposit all Advances (as defined in the DIP Term Sheet) into a bank account designed by the Borrower (the “Borrower’s Account”) and utilized by the Borrower in accordance with the terms of the DIP Term sheet and other Definitive Documents.

• NoneSubject to paragraph 3 of this Final Order, noneof the DIP Secured Parties’ consent (if any) to, or acknowledgment of, the Approved Budget shall be construed as consent to use of the proceeds of the DIP Facility or Cash Collateral beyond the maturity date set forth in the DIP Term Sheet, regardless of whether the aggregate funds shown on the Approved Budget have been expended.

• The Debtors are authorized to use Cash Collateral in accordance with the Approved Budget subject to (a) permitted variances (as provided in the DIP Term Sheet), (b) the Carve-Out, and (c) the terms and conditions of the DIP Documents, the Interim Order, and this Final Order, provided that the Prepetition SecuredParties are granted the Adequate Protection as hereinafter set forth.

DIP Term Sheet means that certain Senior Secured Superpriority Debtor-in- Possession Credit Facility Term Sheet, dated as of July 8, 2020 (as the same may be amended, restated, supplemented, or otherwise modified from time to time), entered into by and among Debtor Sur La Table, Inc., as borrower, Debtor SLT Holdco, Inc., as guarantor, and the DIP Lender.

DIP Term Sheet means that certain Summary of Terms and Conditions of Neumann Homes DIP Financing approved by the Bankruptcy Court on November 28, 2007 pursuant to the Emergency DIP Order.

DIP Term Sheet means that certain Super-Priority Secured Debtor-In-Possession Credit Facility and Use of Cash Collateral Term Sheet, dated November 20, 2018, attached as Exhibit A to the Final DIP Order.

DIP Term Sheet means that certain DIP Facility Term Sheet, dated as of May 12, 2020, by and among the Debtors and the DIP Lenders, as it may be amended, restated, supplemented, or otherwise modified from time to time.

DIP Term Sheet means the debtor-in-possession financing term sheet setting forth the terms of the DIP Facility attached to the Restructuring Term Sheet as Exhibit 1.

DIP Term Sheet means the term sheet for the DIP Facility annexed to the Disclosure Statement as Exhibit E.

DIP Term Sheet means the DIP Facility term sheet attached as Exhibit C to the RSA.
