Direct Engagement definition

Direct Engagement means the engagement, employment or use of a Tutor by the Client or by any Third Party to whom or to which the Tutor was introduced or supplied by the Client (whether with or without the Company’s knowledge or consent) on a permanent, temporary, self-employed or freelance basis, howsoever engaged (whether directly or indirectly). For the avoidance of doubt, Direct Engagements only apply to those situations where the Company is not supplying the Tutor as part of that engagement. Instead, the Client or Third Party makes their own contractual arrangements for work or services directly with the Tutor. “Directly Engages” shall be construed accordingly.
