Direct Exchange definition

Direct Exchange has the meaning set forth in Section 11.03(a).
Direct Exchange is defined in the recitals to this Agreement.

Examples of Direct Exchange in a sentence

  • The Corporation covenants that all shares of Class A Common Stock or Class D Common Stock, as applicable, issued in connection with a Share Settlement pursuant to a Redemption or Direct Exchange will, upon issuance, be validly issued, fully paid and non-assessable.

  • Upon such Direct Exchange pursuant to this Section 11.03, the Corporation shall acquire the Redeemed Units and shall be treated for all purposes of this Agreement as the owner of such Units.
