Director Designation Notice definition

Director Designation Notice means a written notice delivered by Silver Lake Sumeru to the Board of Directors c/o the Secretary of the Company stating that Silver Lake Sumeru is designating an additional director in accordance with its rights set forth in this Agreement and naming such additional Silver Lake Sumeru Designee.
Director Designation Notice has the meaning set forth in Section 4.6.1.

  • The individuals not set forth in the Director Designation Notice shall have resigned from the Company Board and the individuals set forth in the Director Designation Notice shall have been elected as directors of the Company Board to the extent each is not already a director of the Company.

However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.

  • Series Designation has the meaning assigned to such term in Section 3.03(a).

  • Special Termination Notice means the Notice of Special Termination substantially in the form of Annex VII to this Agreement.

  • Nomination Period means a period of time that Customer includes in a nomination for gas service.

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;

  • Investor Director means any Director designated or nominated for election to the Board by the Investor Shareholders pursuant to Section 2.1 of this Agreement.

  • Continuing Director means, with respect to any Person as of any date of determination, any member of the board of directors of such Person who (i) was a member of such board of directors on the Closing Date, or (ii) was nominated for election or elected to such board of directors with the approval of the required majority of the Continuing Directors who were members of such board at the time of such nomination or election.
