Dissenting Optionholders definition

Dissenting Optionholders means registered Optionholders who validly exercise the rights of dissent provided to them under the Interim Order;
Dissenting Optionholders means registered holders of NuLoch Options who validly exercise the rights of dissent with respect to this Arrangement provided to them under the Interim Order and whose dissent rights remain valid immediately before the Effective Time.

  • Dissenting Stockholders shall have the meaning set forth in Section 3.3.

  • Company Optionholder means a holder of Company Options.

  • Dissenting Holder means a registered holder of Shares as of the record date of the Meeting who has validly exercised its Dissent Rights and has not withdrawn or been deemed to have withdrawn such exercise of Dissent Rights, but only in respect of the Shares in respect of which Dissent Rights are validly exercised by such holder.

  • Company Stockholders means the holders of shares of Company Capital Stock.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Dissenters’ Shares has the meaning set forth in Section 4.07.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.

  • Dissent Shares means Company Shares held by a Dissenting Shareholder and in respect of which the Dissenting Shareholder has validly exercised Dissent Rights;

  • Dissent Rights means the rights of dissent in respect of the Arrangement described in the Plan of Arrangement;

  • Dissenter means a shareholder who, being entitled to do so, sends written notice of dissent when and as required by section 242;

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Optionholders means the holders of Options;

  • Company Stockholders Meeting has the meaning set forth in Section 6.2(a).

  • Company Stockholder means the holder of either a share of Company Common Stock or a share of Company Preferred Stock.

  • Appraisal Shares means Shares issued and outstanding immediately prior to the Effective Time that are held by any holder who is entitled to demand and properly demands appraisal of such Shares pursuant to, and who complies in all respects with, the provisions of Section 262.

  • Common Stockholders means holders of shares of Common Stock.

  • Option Holders means the holders, or individually a holder, of Stock Options, together with their successors and assigns.

  • Company Shareholders means the registered or beneficial holders of the Company Shares, as the context requires;

  • Company Stock Option Plans means the 1996 Equity Incentive Plan, 1998 Stock Option Plan for Non-Employee Directors and 1999 Employee Stock Option Plan.
