Distribution Center Merchandise definition

Distribution Center Merchandise means all new, finished, first quality goods owned by Merchant and saleable in the ordinary course of business located at the Distribution Center. Agent and Purchaser shall mutually agree on any Distribution Center Merchandise to be included in the Sale in terms of both amount and mix (with the shipping destination to be determined by Agent).

Distribution Center Merchandise means all new, finished, first-quality goods owned by Merchant and saleable in the ordinary course of business located at the Distribution Centers and reflected on Exhibit 5.2(b).

Distribution Center Merchandise means those items of inventory identified on Exhibit 5.2(b)(1) to the Agency Agreement that are located in Merchant’s Distribution Center on the Sale Commencement Date that do not constitute Direct Business Merchandise.

Examples of Distribution Center Merchandise in a sentence

• On each Wednesday during the Sale Term, commencing on the second Wednesday after the Sale Commencement Date, Agent and Merchant shall cooperate to reconcile Expenses of the Sale, receipts of Distribution Center Merchandise and/or On-Order Merchandise in the Closing Stores, and such other Sale-related items as either party shall reasonably request, in each case for the prior week or partial week (i.e. Sunday through Saturday), all pursuant to procedures agreed upon by Merchant and Agent.

• On a weekly basis, as part of the Weekly Sale Reconciliations, Merchant and Agent shall count and reconcile all shipments and receipts of Distribution Center Merchandise and On-Order Merchandise in the Closing Stores in accordance with the procedures to be agreed upon between Merchant and Agent prior to the Sale Commencement Date; provided, however, that the aggregate Cost Value of such Merchandise shall be included for purposes of calculating the Guaranteed Amount.

• TEAM REGISTRATION In the event that we receive the maximum number of team entries during registration, the following priority will be used for teams on the waiting list:1.

• All Distribution Center Merchandise and certain Inventory under Open Purchase Orders (as agreed to by Agent and Buyer) shall be delivered from the Distribution Centers to the Stores in accordance with the Allocation Schedule and, solely as between Agent and Buyer, the Letter Agreement.

• Distribution Center Merchandise and In-Transit Merchandise received at a Store (with respect to the Test Stores, after the Inventory Date for such Test Store) shall be counted and reconciled within five (5) business days after receipt of such goods in the Stores in accordance with the procedures set forth below (“ Reconciled Merchandise Receipts”).

More Definitions of Distribution Center Merchandise

Distribution Center Merchandise means any item of Merchandise located at Merchant’s warehouses and/or distribution centers identified on Exhibit 1(b) (collectively, the “Distribution Centers”) and reflected in the Merchandise File.

Distribution Center Merchandise means those items of inventory identified by SKU on the File (including, the “Go Jane” goods), that are located in the Distribution Centers as of the Sale Commencement Date and, which goods (excluding the “Go Jane” goods), to the extent not delivered to the Stores prior to the Sale Commencement Date, shall be delivered by Merchant to the Stores in accordance with the Allocation Schedule.

Distribution Center Merchandise means those items of inventory identified by UPC/SKU on Exhibit 5.2(b) annexed hereto, that was located in Merchant’s Distribution Centers and was transfered to the Closing Stores both prior to and after the Sale Commencement Date for purposes of inclusion in the Sale, which goods, to the extent not delivered to the Closing Stores prior to the Sale Commencement Date, shall be delivered by Merchant to the Closing Stores in accordance with Schedule 5.1(c) annexed hereto on or before the date that is thirty (30) days after the Sale Commencement Date.

Distribution Center Merchandise means those items of inventory identified by SKU on Exhibit 5.2(b) annexed hereto, that was located in Merchant’s Distribution Centers and, which goods, to the extent not delivered to the Stores prior to the Sale Commencement Date, shall be delivered by Merchant to the Stores as directed by Agent after the Sale Commencement Date, in accordance with Section 5.5 hereof.

Distribution Center Merchandise means those items of inventory currently located at Merchant’s Distribution Centers. Such goods shall be delivered by Merchant at Merchant’s cost but at Agent’s direction to the Stores no later than fourteen days after Agent provides written notice to Merchant of Agent’s desired allocation of such Distribution Center Merchandise (the “Distribution Center Merchandise Receipt Deadline”).

Distribution Center Merchandise means all new, finished, first-quality saleable goods (including without limitation Liter Goods) in the ordinary course of business located at Merchant’s Distribution Center, which have been allocated to Agent in accordance with the Allocation Schedule.

Distribution Center Merchandise means those items of inventory identified by SKU on the File (including, the “Go Xxxx” goods), that are located in the Distribution Centers as of the Sale Commencement Date and, which goods (excluding the “Go Xxxx” goods), to the extent not delivered to the Stores prior to the Sale Commencement Date, shall be delivered by Merchant to the Stores in accordance with the Allocation Schedule.
