Merchandise File definition

Merchandise File means Merchant’s “Inventory by SKU by location 8.18.20” file, together with all updated files received on or prior to the Sale Commencement Date.
Merchandise File means Merchant’s “SKULocationBySubclass.txt” file, together with all updated files received on or prior to the Sale Commencement Date.
Merchandise File means Merchant’s files listed on Exhibit 5.2(b)(2)(ii) attached hereto, which were posted to the data room on January 8, 2019 in folder 19.15.28, with such amendments or modifications thereto from time to time in accordance with this Agreement.

Examples of Merchandise File in a sentence

  • For purposes of this Agreement, “ Cost Value” shall mean, with respect to each item of Merchandise, the lowest cost as reflected in the Merchandise File without including any freight, duties and any other landing costs included therein.

  • For purposes of this Agreement, except as set forth in Section 5.3(c), (d), (e), and (f), “Cost Value” shall mean, with respect to each item of Merchandise, the lower of (i) the lowest cost in the “INV_OH_COST” divided by the “ Q_INV_OH_UNTS_EOP” as reflected in the Merchandise File and (ii) the Retail Price.

  • For purposes of this Agreement, “ Retail Price” shall mean with respect to each item of Merchandise, the lower of the lowest ticketed, marked, shelf, stickered, hang-tag, Merchandise File, or other file price as reflected in Merchant’s books and records for such item.

Merchandise File means the files named “Skuinv-2011-10-01.xlsx” and sent by Merchant to GBRP on October 11, 2011.

Related to Merchandise File

  • Case file means a record that is assembled and maintained for each application approved for state cost sharing.

  • Receivable File means the documents (whether tangible or electronic) specified in Section 2.02 pertaining to a particular Receivable.

  • Merchandise means any personal property offered or sold for use in connection with the funeral, final disposition, memorialization, or interment of human remains, but which is exclusive of interment rights.

  • Personnel file means, for the purposes of Part III (8VAC20-90-60 et seq.), any and all memoranda, entries or other documents included in the teacher's file as maintained in the central school administration office or in any file regarding the teacher maintained within a school in which the teacher serves.

  • Asset File means the materials with respect to the Assets (i) previously delivered to Buyer or its representatives by or on behalf of Seller, whether written or orally, (ii) made available to Buyer or its representatives at the Hotel or at the offices of Broker, in each case, whether written or orally, or (iii) made available to Buyer or its representatives in the data room web site created by Broker.

  • Client Records has the meaning set forth in Section 3.14.

  • Merchandise certificate means a writing not redeemable in cash and usable in its face amount in lieu of cash in exchange for goods or services.

  • Computer means an electronic device that accepts information in digital or similar form and manipulates it for a result based on a sequence of instructions.

  • Loan File With respect to each Loan, a file containing (a) each of the documents and items as set forth on the Loan Checklist with respect to such Loan and (b) duly executed originals and copies of any other relevant records relating to such Loans and the Underlying Assets pertaining thereto.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
