Distribution LC definition

Distribution LC an irrevocable, standby letter of credit issued by a Qualifying LC Issuer in connection with Section 7.1(c) that (a) includes an expiration date no earlier than 364 days following its issuance date, (b) allows the P1 Collateral Agent to make a drawdown of up to the full stated amount in the circumstances permitted hereunder, (c) is for the benefit of the P1 Collateral Agent on behalf of the Senior Lenders, the CD Senior Lenders and the TCF Senior Lenders, and (d) is in form and substance reasonably satisfactory to the P1 Administrative Agent.
Distribution LC means that certain $10,851,096 letter of credit in the form of Exhibit G issued to support Enron's obligations with respect to the minimum quarterly distribution payable to the public unitholders of Xxxxxx Xxxxxx Energy.

Examples of Distribution LC in a sentence

  • The Borrower assumes all risks of the acts or omissions of any beneficiary of any Letter of Credit or the Distribution LC or any transferee thereof with respect to its use of such Letter of Credit or the Distribution LC.

  • In conjunction with the issuance of the Distribution LC, the Borrower shall execute a Letter of Credit Agreement.

  • REMIC II Distribution Amount shall not cause a reduction in the Class Principal Balances of any of the REMIC II Regular Interests; and
