Domestic Communications Infrastructure. (“DCI”) means any LogMeIn system that supports any communications originating or terminating in the United States, including its territories, including any transmission, switching, bridging, and routing equipment, and any associated software (with the exception of commercial-off-the-shelf (“COTS”) software used for common business functions, e.g., Microsoft Office) used by, or on behalf of, the Applicant to provide, process, direct, control, supervise, or manage DC but would not include the systems of entities for which the Applicant has a contracted arrangement for interconnection, peering, roaming, long-distance, or wholesale network access.

Domestic Communications Infrastructure. DCI”)” means any PR/USVI Affiliate system that supports any communications originating or terminating in the United States, including its territories, including any transmission, switching, bridging, and routing equipment, and any associated software (with the exception of commercial-off-the-shelf (“COTS”) software used for common business functions, e.g., Microsoft Office) used by, or on behalf of, PR/USVI Affiliate to provide, process, direct, control, supervise, or manage DC, but does not include the systems of entities for which PR/USVI Affiliate has a contracted arrangement for interconnection, peering, roaming, long-distance, or wholesale network access.

Domestic Communications Infrastructure or “DCI” means: (a) any portion of the MAREA Cable System that physically is located in the United States, up to the submarine line terminating equipment, including (if any) transmission, switching, bridging, and routing equipment, and any associated software (with the exception of commercial-off-the-shelf (“COTS”) software used for common business functions, e.g., MS Office) used by or on behalf of the MAREA Applicants to provide, process, direct, control, supervise, or manage Domestic Communications; (b) Network Operations Center (“NOC”) facilities, as defined in Section D below.

• The parties agree to exclude from this notice and approval requirement outsourcing contracts that do not provide Access to Call Associated Data, Classified Information, Customer Information, Domestic Communications, Domestic Communications Infrastructure, Sensitive Information, Subscriber Information, Transactional Data, U.S. Hosting Data, or USG Customer Information.

• The Domestic Companies shall take measures consistent with such practices to prevent the use of or access to the Domestic Communications Infrastructure or to Data Centers to conduct Lawfully Authorized Electronic Surveillance, or to obtain or disclose Domestic Communications, U.S. Hosting Data, Classified Information, or Sensitive Information, in violation of any U.S. federal, state, or local laws, or the terms of this Agreement.

• Except to the extent and under conditions concurred in by the USG Parties in writing, operational control of the Domestic Communications Infrastructure, including network administration, maintenance and provisioning, will be restricted to the Domestic Companies’ facilities located in the United States, and the Domestic Companies shall prohibit remote access from outside the United States, to network elements, any capabilities to conduct electronic surveillance, and operational support systems.

• Within thirty days of receipt, the Domestic Companies shall notify the USG Parties in writing of legal process or requests by foreign nongovernmental entities to Domestic Companies for access to or disclosure of (i) U.S. Hosting Data, or (ii) Domestic Communications carried by or through, in whole or in part, the Domestic Communications Infrastructure, unless the disclosure of the legal process or request would be in violation of an order of a court of competent jurisdiction within the United States.

• No later than ninety days after the Closing Date, the Domestic Companies shall adopt and implement a visitation policy for all visits by Foreign Persons to Domestic Communications Infrastructure.

More Definitions of Domestic Communications Infrastructure

Domestic Communications Infrastructure means (i) transmission, switching, bridging and routing equipment (including software and upgrades) in use to provide, process, direct, control, supervise or manage Domestic Communications; and (ii) facilities and equipment that are used to control the equipment described in (i). Domestic Communications Infrastructure does not include equipment dedicated to the termination of international undersea cables, provided that such equipment is utilized solely to effectuate the operation of undersea transport network(s) outside of the United States and in no manner controls land-based transport network(s) or their associated systems in the United States, nor does it include facilities and equipment intended and capable solely of performing billing, customer management, business management or marketing functions.

Domestic Communications Infrastructure. (“DCI”) means:

Domestic Communications Infrastructure means (a) transmission, switching, bridging and routing equipment (including software and upgrades) subject to control by a Domestic Communications Company and in use to provide, process, direct, control, supervise or manage Domestic Communications, and (b) facilities and equipment in use by or on behalf of a Domestic Communications Company that are physically located in the United States; or (c) facilities in use by or on behalf of a Domestic Communications Company to control the equipment described in (a) and (b) above. Domestic Communications Infrastructure does not include equipment or facilities used by service providers that are not Domestic Communications Companies and that are: (i) interconnecting communications providers; or (ii) providers of services or content that are (A) accessible using the communications services of Domestic Communications Companies, and (B) available in substantially similar form and on commercially reasonable terms through communications services of companies other than Domestic Communications Companies. Domestic Communications Infrastructure does not include equipment dedicated to the termination of international undersea cables, provided that such equipment is utilized solely to effectuate the operation of undersea transport network(s) outside of the United States and in no manner controls land-based transport network(s) or their associated systems in the United States.

Domestic Communications Infrastructure means any systems, equipment, hardware, software or applications that capture or control, or transmit the flow of Domestic Communications on behalf of the Licensees, including information technology supporting such networks.

Domestic Communications Infrastructure means (a) transmission, switching, bridging and routing equipment (including software and upgrades) subject to control by a Domestic Communications Company and in use to provide, process, direct, control, supervise or manage Domestic Communications, and (b) facilities and equipment in use by or on behalf of a Domestic Communications Company that are physically located in the United States; or (c) facilities in use by or on behalf of a Domestic Communications Company to control the equipment described in

Domestic Communications Infrastructure means (a) transmission, switching, bridging and routing equipment (including software and upgrades) used by or on behalf of Inmarsat to provide, process, direct, control, supervise or manage Domestic Communications; (b) facilities and equipment used by or on behalf of Inmarsat that are physically located in the United States; and (c) facilities used by or on behalf of Inmarsat to control the equipment described in (a) and (b) above. Domestic Communications Infrastructure does not include equipment or facilities used by service providers other than Inmarsat or its Affiliates that are:

Domestic Communications Infrastructure does not include equipment or facilities used by service providers other than Inmarsat or its Affiliates that are: (1) interconnecting communications providers; or (2) providers of services or content that are (A) accessible using the communications services of Inmarsat or its Affiliates, and (B) available in substantially similar form and on commercially reasonable terms through communications services of companies other than Inmarsat or its Affiliates. The phrase “on behalf of” as used in this Section does not include entities with which Inmarsat or any of its Affiliates has contracted for peering, interconnection, roaming, long distance, resale, or distribution of BGAN Service.
