Drive Entities definition

Drive Entities means Drive, Drive-GP and each of their respective Subsidiaries.
Drive Entities means Drive and Drive Warehouse.

Examples of Drive Entities in a sentence

  • All of the issued and outstanding Membership Interests, Limited Partnership Interests, general partnership interest and shares of capital stock of the Drive Entities were issued in compliance with Applicable Laws and not in violation of any preemptive or similar rights.

  • No Drive Entity, FC Party or Auto Entity is, nor to the knowledge of the foregoing no other equity holder in any Drive Entity is, party to any stockholders or similar agreement or other Contract relating to the pledge, disposition or voting of any equity interests in any of the Drive Entities, other than the Shareholders Agreement, and (except for the foregoing two Contracts) there are no voting trusts or voting agreements with respect to any such equity interests.

  • One or more of the Auto Entities has (and, upon Acquisition Effectiveness, one or more of the Drive Entities will have) a valid leasehold interest in and enjoys (and, upon and immediately after Acquisition Effectiveness, one or more of the Drive Entities will enjoy) peaceful and undisturbed possession under all leases pursuant to which any Auto Entity now holds any such real property or tangible personal property, subject to the terms of each lease and Applicable Law.

  • There shall have been delivered to FC and CLC such information and copies of documents, approvals (if any) and records (certified where appropriate) of such limited liability company and legal proceedings as FC or CLC may have reasonably requested relating to the Drive Entities and Buying Entities' organization and the entering into and performance of the Related Documents.

  • All of the assets held by each of the Persons listed on Schedule 2.1(c) as owned by Auto or Auto-GP (other than Auto-FCAR), and all of the equity interests in each of the Securitization Subsidiaries, in whole or in part, have been transferred (directly or indirectly) to one or more of the Drive Entities except for CLC's shares in Auto-FCA and FC Consumer Finance and Auto's shares in Auto-Servicing, Auto-FCA and Auto-ABS.

  • We call an element, x, frequent if its frequency, F (x), exceeds a user specified threshold, φN , where≤ ≤0 φ 1.

  • At Acquisition Effectiveness, all properties, assets, business and operations of the Drive Entities will be, adequately insured as set forth on Schedule 2.8 attached hereto.

  • All of such Private Authorizations are valid and in good standing and are in full force and effect and will be in good force and effect after Acquisition Effectiveness with respect to the Drive Entities (or will promptly be replaced, at nominal cost, on or within 30 Business Days after Acquisition Effectiveness, by substantially identical Private Authorizations for the Drive Entities).

  • No such Legal Action (whether listed on said schedule or excluded by virtue of the foregoing parenthetical or otherwise), if determined adversely to the relevant Relevant Entity, will (individually or in the aggregate) have a material adverse effect on any of the Auto Entities or Drive Entities.

Related to Drive Entities

  • Outside Entity means any:

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Competitive Entity means any person, entity or business that (i) competes with any of the Company’s or any of its affiliate’s programming or other existing businesses, nationally or regionally; or (ii) directly competes with any other business of the Company or one of its subsidiaries that produced greater than 10% of the Company’s revenues in the calendar year immediately preceding the year in which the determination is made. Ownership of not more than 1% of the outstanding stock of any publicly traded company shall not, by itself, be a violation of this paragraph. This agreement not to compete will expire on the first anniversary of the date on which your employment with the Company has terminated if such termination occurs prior to the Expiration Date.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Pawnbroker means the same as that term is defined in Section 13-32a-102.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Group Companies means the Company and its Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Brands means the Sprint PCS Brands and the Sprint Brands.

  • Business Partner means a legal entity that requires use of a Cloud Service in connection with Customer’s and its Affiliates’ internal business operations. These may include customers, distributors, service providers and/or suppliers of Customer.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Released Entities means released entities as such term is defined

  • General Motors Financial Company, Inc. means General Motors Financial Company, Inc. (f/k/a AmeriCredit Corp.).

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Business of the Company means any business or activity involved in grocery or general merchandise retailing and supply chain logistics, including but not limited to grocery distribution, business-to-business portal, retail support services and third-party logistics, of the type provided by the Company or its Affiliates, or presented in concept to you by the Company or its Affiliates at any time during your employment with the Company or any of its Affiliates.

  • Mutual housing corporation means a corporation not-for-profit,

  • Professional limited liability company means a limited

  • Enterprises means DTE Enterprises, Inc., a Michigan corporation wholly-owned by the Borrower.
