DTH Business means the business of (i) developing, managing, operating or providing services relating to direct to home satellite systems for the distribution of subscription programming services directly to homes and cable systems in areas covered by the "footprint" of the satellites utilized by the Company and its Restricted Subsidiaries, and activities to accomplish the foregoing (other than the Cable/Telecommunications Business or the Entertainment/Programming Business) or (ii) evaluating, participating or pursuing any other activity or opportunity that is primarily related to those identified above.

DTH Business means the business of (i) developing, managing, operating or providing services relating to direct to home satellite systems for the distribution of subscription programming services directly to homes and cable systems in areas covered by the “footprint” of the satellites utilized by the Company and the Restricted Subsidiaries, and activities to accomplish the foregoing (other than the Cable/Telecommunications Business or the Entertainment/Programming Business) or (ii) evaluating, participating or pursuing any other activity or opportunity that is primarily related to those identified above.

DTH Business means any business or enterprise which owns or operates a direct-to-home satellite system which transmits multiple television channels via satellite directly to integrated decoders/receivers operated by end-viewers in a manner that allows such end-viewers to access television channels to which they subscribe (whether on a tiered, a la carte or pay-per-view basis), provided that the following shall not, on its own, be deemed to be DTH Businesses for the purposes of this Agreement: (a) the ownership or operation of one or more satellites or satellite transponders; (b) the provision of satellite transponder services to any Person or Persons; (c) the ownership or operation of one or more Internet services, sites or portals; (d) the ownership or operation of one or more television channels or other television programming services, whether or not they are provided to one or more direct-to-home satellite systems; and (e) the ownership or operation of any means of distributing or delivering television channels or other television programming signals other than through a direct-to-home satellite system which transmits multiple television channels as provided above.

• The Company will not, and will not permit any Restricted Subsidiary of the Company to, engage in any business other than the Cable/Telecommunications Business, the Entertainment/Programming Business or the DTH Business or any business or activity reasonably related thereto, including the operation of a subscriber management or service business.

• If any DTH Business ceases to be a Latin American Platform, ROW Platform or U.S. Platform, or if DIRECTV and its Affiliates cease to own any direct or indirect interest in such DTH Business, then the foregoing guarantee shall terminate; provided, however, that such termination shall not relieve DIRECTV of any covenants, agreements and obligations that existed prior to such event.

• If any DTH Business ceases to be a Latin American Platform, ROW Platform or U.S. Platform, or if News and its Affiliates cease to own any direct or indirect interest in such DTH Businesses, then the foregoing guarantee shall terminate; provided, however, that such termination shall not relieve News of any covenants, agreements and obligations that existed prior to such event.

• If TKP determines that it does not wish to continue to use such space, TKP shall bear the portion of the resulting termination costs that relates to space at such location used at the date hereof by UPC Polska's DTH Business, and UPC shall bear the remainder of such termination costs.

• During the Interim Period, subject to applicable law, the Parties shall consult with each other regarding the activities of TKP and UPC Polska's DTH Business.

• In accordance with the terms and conditions of the Programming Rights Agreement dated the date hereof (the "Programming Rights Agreement"), Wizja TV B.V. has provided to Cyfra+ and Wizja TV Sp. z o.o., and Cyfra+ and Wizja TV Sp. z o.o. have assumed, the programming rights and obligations that directly relate to the UPC Polska DTH Business, to the extent and in the manner provided in Article 3.1(h) of the Contribution and Subscription Agreement.

• Such technology shall be provided pursuant to a license to utilize such technology in the DTH Business in the Territory and to manufacture and sell, or authorize others to manufacture and sell, equipment using or relying upon such technology.

DTH Business means the ownership, management or operation of any Pay-Television Service by DTH satellite for which a fee is received from viewers in Poland, either directly, or indirectly through a carrier, together with all activities related thereto.

DTH Business means the business of (i) developing, operating, or providing services relating to direct to home satellite systems for the distribution of subscription programming services directly to homes and cable systems in Mexico and other areas covered by the "footprint" of the satellites utilized by the Company, and activities to accomplish the foregoing, including the acquisition of the rights to exhibit subscription programming services and channels in Mexico and such other areas or (ii) evaluating, participating or pursuing any other activity or opportunity that is primarily related to those identified above; provided that the determination of what constitutes a DTH Business shall be made in good faith by the Board of Directors, which determination shall be conclusive.

DTH Business means any business or enterprise which owns or operates a direct-to-home satellite system which transmits multiple television Channels via satellite directly to integrated decoders/receivers operated by end-viewers in a manner that allows multiple Channels to be carried on a single satellite transponder and allows end-viewers to access television Channels to which they subscribe (whether on a tiered, a la carte or pay-per-view basis), provided that the following shall not, on its own, be deemed to be DTH Businesses for the purposes of this Agreement: (a) the ownership or operation of one or more satellites or satellite transponders; (b) the provision of satellite transponder services to any Person or Persons; (c) the ownership or operation of one or more Internet services, sites or portals; (d) the ownership or operation of one or more television Channels or other television programming services, whether or not they are provided to one or more direct-to-home satellite systems; and (e) the ownership or operation of any means of distributing or delivering television Channels or other television programming Signal other than through a direct-to-home satellite system which transmits multiple television Channels as provided above.

DTH Business means the business of developing and distributing television, audio and related entertainment programming services through direct-to-home satellite transmission.
