Examples of Due Diligence Costs in a sentence
Seller further agrees that Seller shall pay all out-of-pocket costs and expenses incurred by Buyer in connection with Buyer’s activities pursuant to this Section 35 (“Due Diligence Costs”); provided, that such Due Diligence Costs shall not exceed the Due Diligence Cap per calendar year unless a Default or Event of Default shall have occurred, in which event Buyer shall have the right to perform due diligence, at the sole expense of Seller without regard to the dollar limitation set forth herein.
This rule does not prevent the Funder from exceeding that sum for Due Diligence Costs in its absolute discretion.

Seller’s obligation to pay Buyer’s Reimbursable Due Diligence Costs shall survive the termination of this Agreement.
Due Diligence Costs PNC shall pay for all of its diligence and legal costs, including but not limited to legal costs of the equity closing, market study, plan and cost review, monthly construction inspections, desktop environmental review and third-party insurance review, up to $65,000.
