Member of the clergy means a clergyman or practitioner of any religious denomination accredited by the religious body to which he or she belongs.
Cannabis retailer means any licensed person or entity that purchases or otherwise obtains usable cannabis from cannabis cultivators and cannabis items from cannabis manufacturers or cannabis wholesalers, and sells these to consumers from a retail store, and may use a cannabis delivery service or a certified cannabis handler for the off-premises delivery of cannabis items and related supplies to consumers. A cannabis retailer shall also accept consumer purchases to be fulfilled from its retail store that are presented by a cannabis delivery service which will be delivered by the cannabis delivery service to that consumer.
Member Club means any past or present member club of the NFL or any past member club of the American Football League.
Teaching staff member means an employee who holds a position for which a certificate issued by the New Jersey State Board of Examiners is required.
Executive session means all or part of a meeting that is closed or confidential.
Premium Paying Term means the period as stated in the Policy Schedule, in years, over which Premiums are payable;

Non-Administrator Ambulatory Surgical Facility means an Ambulatory Surgical Facility which does not meet the definition of an Administrator Ambulatory Surgical Facility.
Medical cannabis card means the same as that term is defined in Section 26-61a-102.
Delaying Event means any failure of a Party to perform any of its obligations set forth in this Agreement, caused in whole or in part by:
2.63.1 the failure of the other Party to perform any of its obligations set forth in this Agreement, including but not limited to a Party’s failure to provide the other Party with accurate and complete Service Orders;
2.63.2 any delay, act or failure to act by the other Party or its End User, agent or subcontractor; or
2.63.3 any Force Majeure Event.
Member of the University Community means any person who is a volunteer including high school students, an enrolled student, faculty or staff member, University official, any other person employed by the University or campus visitors.
Qualifying Termination means a termination of the Executive’s employment either (i) by a Company Group member without Cause (excluding by reason of Executive’s death or Disability) or (ii) by the Executive for Good Reason, in either case, during the Change in Control Period (a “Qualifying CIC Termination”) or outside of the Change in Control Period (a “Qualifying Non-CIC Termination”).

NFFE means any Non-U.S. Entity that is not a FFI as defined in relevant U.S. Treasury Regulations, and also includes any Non-U.S. Entity that is organized under the laws of Switzerland or another Partner Jurisdiction and that is not a Financial Institution.
Intimate partner means: (a) Spouses, or domestic partners; (b) former spouses, or former domestic partners; (c) persons who have a child in common regardless of whether they have been married or have lived together at any time; (d) adult persons presently or previously residing together who have or have had a dating relationship; (e) persons sixteen years of age or older who are presently residing together or who have resided together in the past and who have or have had a dating relationship; and (f) persons sixteen years of age or older with whom a person sixteen years of age or older has or has had a dating relationship.
Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.
Team Member means an individual who is allowed to access the Cloud Service but is only granted membership in groups associated with “Team Member” permissions for the Cloud Service.2
Employment Commencement Date means the date on which the Employee first performs an Hour of Service.
