The Earned Award LTIP Units shall be treated as Vested LTIP Units (as defined in the LLC Agreement) as of the Vesting Date and shall be converted into Class A Common Units in accordance with Section 8 of the Plan and the LLC Agreement.
Citigroup may assign the legal obligation to pay Participant’s vested Earned Award to Participant’s employer without the consent of Participant.
In accordance with the rules promulgated by the Committee, an Eligible Person may elect to defer any or all of such Earned Award.
Only those Contractor staff who have a direct need for Personal Information or Confidential Information shall have access to any information provided to Contractor under this Agreement.
